Governmental, Regulatory and Other Consents and Approvals. All consents, approvals, assignments and actions of, filings set forth on Schedule 8.5 shall have been obtained and, if required, the expiration or termination without the objection of any of the relevant federal authorities of all applicable waiting periods (and any extensions thereof) under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvement Act of 1976, as amended.

The board of directors of the Buyer shall have adopted and approved this Agreement and the transactions contemplated hereby.

The Buyer shall have received written confirmation by CFIUS that it has completed its review (or, if applicable, investigation) under Exon-Xxxxxx and determined that there are no unresolved national security concerns with respect to the transactions contemplated by this Agreement. Notwithstanding anything to the contrary contained herein, Buyer shall not be required to agree to sell, divest, dispose of or hold separate any assets or businesses, or otherwise take or commit to take any action that could reasonably be expected to limit its freedom of action with respect to, or ability to retain, one or more of the Company’s businesses, product lines or assets.
