Governmental, Regulatory and Other Consents and Approvals. All consents, approvals, assignments and actions of, filings set forth on Schedule 8.5 shall have been obtained and, if required, the expiration or termination without the objection of any of the relevant federal authorities of all applicable waiting periods (and any extensions thereof) under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvement Act of 1976, as amended.

The board of directors of the Buyer shall have approved, in its sole and absolute discretion, the consummation of the Stock Purchase and the transactions contemplated this Agreement.
