Govexxxxx Xxx. Xhis Agreement shall be governed by and construed in accordance with the laws of the State of New York.
Govexxxxx Xxx. Xxxx Xxxxxxxxx xxxxx xx xxx xxxxxxxx be construed, interpreted and enforced in accordance with and governed by the laws of the State of Delaware and, so far as applicable, the merger provisions of the IBCA.
Govexxxxx Xxx. Xxxx Xxxxxxxxx xxxxx xx xxxxxxxx xx xxx construed in accordance with the laws of the State of New York.
Govexxxxx Xxx. Xxxx Agreement shall be governed by and construed in accordance with the laws of the State of Georgia.
Govexxxxx Xxx. Xxxx Xxxxxxxxx xxxxx xx xxxxxxxx xx xxx construed in all respects in accordance with the Law of Scotland and the parties hereto irrevocably prorogate the non-exclusive jurisdiction of the Scottish Courts;
Govexxxxx Xxx. Xxxs Agreement shalx xx xxxxxxxx by and construed in accordance with the laws of the State of New York without reference to its choice of law provisions.
Govexxxxx Xxx. This Agreement shall be exclusively governed, construed and enforced by and under the laws of the State of Florida. Should it be necessary to file a lawsuit to enforce the terms of this Agreement, or which relates to or concerns this Agreement or the rights or obligations thereunder, venue and jurisdiction shall be restricted to the eleventh judicial circuit in the Florida state court system in Miami-Dade County, Florida.
Govexxxxx Xxx. Xxxx Xxxxxxxxx shall be governed in xxx xxxxxxxx, including validity, construction, interpretation and effect, by the laws of the State of Nevada (without regard to principles of conflicts of law). Each of the parties hereto agrees to submit to the exclusive jurisdiction of any federal or state court within the City of Las Vegas, Nevada with respect to any claim or cause of action arising under or relating to this Agreement. The parties agree that any service of process to be made hereunder may be made by certified mail, return receipt requested, addressed to the party at the address appearing in Section 8.3. Such service shall be deemed to be completed when received. Seller and Purchaser each waives any objection based on forum non conveniens. Nothing in this paragraph shall affect the right of Seller or Purchaser to serve legal process in any other manner permitted by law.
Govexxxxx Xxx. Xxis Guaranty shall be governed by and construed in accordance with the laws of the State of New York and the applicable laws of the United States of America.
Govexxxxx Xxx. This Agreement shall be governed in all respects, including validity, construction, interpretation and effect, by the laws of the State of Texas (without regard to principles of conflicts of law). Each of the parties hereto agrees to submit to the exclusive jurisdiction of any federal or state court within the County of Dallas, Texas or of New York County, New York with respect to any claim or cause of action arising under or relating to this Agreement. The parties agree that any service of process to be made hereunder may be made by certified mail, return receipt requested, addressed to the party at the address appearing in Section 10.2, together with a copy to be delivered to such party's attorneys via telecopier (if provided in Section 10.2). Such service shall be deemed to be completed when mailed and sent and received by telecopier. Seller and Purchaser each waives any objection based on forum non convenient. Nothing in this paragraph shall affect the right of Seller or Purchaser to serve legal process in any other manner permitted by law.
