Common use of Grounds for Immediate Termination Clause in Contracts

Grounds for Immediate Termination. CITY LOOKS will have the absolute right and privilege, unless prohibited by applicable law, to immediately terminate this Agreement if: (A) the FRANCHISEE or any of its partners, Directors, officers or majority stockholders are convicted of, or pleads guilty or no contest to a charge of violating any law relating to the franchised business, or any felony; (B) the FRANCHISEE voluntarily or otherwise abandons, as defined herein, the FRANCHISEE'S City Looks business; (C) the FRANCHISEE is involved in any act or conduct which materially impairs the goodwill associated with CITY LOOKS' Marks or Business System, and the FRANCHISEE fails to correct such act or conduct within twenty-four (24) hours of receipt of written notice from CITY LOOKS; or (D) the FRANCHISEE fails or refuses to produce its books and financial records for audit by CITY LOOKS in accordance with Article 19.4.
