Guaranty by Parent. By its signature below, Parent hereby guarantees the obligations of Merger Sub pursuant to this Agreement to be performed on or prior to the Closing Date.
Guaranty by Parent. The Parent hereby irrevocably and unconditionally guarantees to the Executive the payment of all amounts, and the performance of all other obligations, due from the Bank under this Agreement as and when due and without any requirement of presentment, demand of payment, protest or notice of dishonor or nonpayment.
Guaranty by Parent. Parent hereby unconditionally and ------------------ irrevocably guarantees the performance by Purchaser of all of Purchaser's obligations under this Agreement (or any successor thereto).
Guaranty by Parent. By its signature below, Parent hereby -------------------- guarantees the obligations of Acquisition Subsidiary pursuant to this Agreement.

Guaranty by Parent. (a) Parent hereby unconditionally and irrevocably guarantees to Seller Parties the punctual payment of all payment obligations and punctual performance of all of (i) Buyer’s covenants and agreements under this Agreement and each Transaction Agreement to which Buyer is a party, in each case when and if such payment obligations, covenants, and agreements shall become due and performable according to the terms of this Agreement, or any Transaction Agreement (the “Guaranteed Obligations”). If Buyer fails to perform or pay when due any Guaranteed Obligation, after any applicable cure periods, as and when provided for in this Agreement or any Transaction Agreement, then, without the necessity or the requirement for any Seller Party to pursue or exhaust its recourse against Buyer, Parent will perform or pay or cause to be performed or paid such Guaranteed Obligation promptly upon written demand. Parent shall cause Buyer to comply with its obligations this Agreement and any Transaction Agreement to which it is a party, as applicable.
Guaranty by Parent. In consideration of the covenants, agreements and undertakings of Seller contained in this Agreement, Parent hereby guarantees to Seller, and his successors and assigns, the full, prompt and complete payment and performance by the Purchaser of all of the covenants, conditions and agreements of the Purchaser contained in this Agreement. Parent hereby waives all notice of default by the Purchaser or notice of acceptance of this Agreement by Seller, and consents to any extension that may be given by Seller to the Purchaser of time of payment or performance. This guarantee shall be construed as a continuing absolute and unconditional guarantee of payment and performance and not as a guarantee of collection.
Guaranty by Parent. Parent agrees that any obligation of Seller under this Agreement to Purchaser or otherwise, not performed by Seller shall be performed by Parent.
