Hardship Withdrawls. An Employee who has a financial hardship, as determined by the Employer, and who has made all available withdrawals pursuant to the paragraph above and pursuant to the provisions of any other plans of the Employer and any related entities of which he is a member and who has obtained all available loans pursuant to the provisions of any other plans of the Employer and any related entities of which he or she is a member may withdraw from his Account an amount not to exceed the lesser of the balance of his Account or the amount determined by the Employer as being available for withdrawal pursuant to this paragraph. For purposes of this paragraph, financial hardship means the immediate and heavy financial needs of the Employee. A withdrawal based upon financial hardship pursuant to this paragraph shall not exceed the amount required to meet the immediate financial need created by the hardship and not reasonably available from other resources of the Employee. The determination of the existence of an Employee's financial hardship and the amount 2 required to be distributed to meet the need created by the hardship shall be made by the Employer. A withdrawal shall be deemed to be made on account of an immediate and heavy financial need of an Employee if the withdrawal is on account of: (1) medical expenses described in Section 213(d) of the Code incurred by the Employee, the Employee's spouse or any dependents of the Employee (as defined in Section 152 of the Code);

  • Hardship Distribution Upon the Board of Director's determination (following petition by the Executive) that the Executive has suffered an unforeseeable financial emergency as described in Section 2.2.2, the Company shall distribute to the Executive all or a portion of the Deferral Account balance as determined by the Company, but in no event shall the distribution be greater than is necessary to relieve the financial hardship.

  • Unforeseeable Emergency In the event of a Participant’s Unforeseeable Emergency, such Participant may request an emergency withdrawal from his or her Account. Any such request shall be subject to the approval of the Administrator, which approval shall not be granted to the extent that such need may be relieved (i) through reimbursement or compensation by insurance or otherwise or (ii) by liquidation of the Participant’s assets (to the extent the liquidation of such assets would not itself cause severe financial hardship).   • Hardship In the event the Investor sells the Company's Common Stock pursuant to subsection (c) above and the Company fails to perform its obligations as mandated in Section 2.5 and 2.2 (c), and specifically fails to provide the Investor with the shares of Common Stock for the applicable Advance, the Company acknowledges that the Investor shall suffer financial hardship and therefore shall be liable for any and all losses, commissions, fees, or financial hardship caused to the Investor.

  • DEFERRAL CONTRIBUTIONS The Advisory Committee will allocate to each Participant's Deferral Contributions Account the amount of Deferral Contributions the Employer makes to the Trust on behalf of the Participant. The Advisory Committee will make this allocation as of the last day of each Plan Year unless, in Adoption Agreement Section 3.04, the Employer elects more frequent allocation dates for salary reduction contributions.

  • Distribution Upon Withdrawal No withdrawing Member shall be entitled to receive any distribution or the value of such Member’s Interest in the Company as a result of withdrawal from the Company prior to the liquidation of the Company, except as specifically provided in this Agreement.
