Common use of Hospital Commissioning Clause in Contracts

Hospital Commissioning. (a) The Parties acknowledge that the Hospital Commissioning shall be performed both before and after the Substantial Completion Date. Prior to Substantial Completion, Project Co shall give MHCP full access to the Site, the Facility and all relevant parts thereof at such times as may be set out in the Final Commissioning Program to enable MHCP to undertake the Hospital Commissioning in accordance with the Final Commissioning Program. MHCP shall comply, and shall ensure that all MHCP Parties comply, with the directions, procedures and safety guidelines established by Project Co for the Site and shall use commercially reasonable efforts to minimize disruption to the Project Operations in performing the Hospital Commissioning. (b) MHCP acknowledges that, during the Hospital Commissioning Period, Project Co and each Subcontractor will be active in the Facility in both the rectification of Minor Deficiencies and the completion of Project Co Commissioning, and MHCP shall take commercially reasonable steps to allow such activities to proceed in accordance with the Final Commissioning Program. (c) Project Co acknowledges that, prior to and during the Hospital Commissioning Period, Project Co and each Subcontractor shall cooperate with MHCP and all MHCP Parties and use commercially reasonable efforts to ensure that all requirements, and the timing and sequence of such requirements, of the Hospital Commissioning activities are able to be completed in the timeframe for completion set out in the Final Commissioning Program.

(b) MHCP HRRH acknowledges that, during the Hospital Commissioning Period, Project Co and each Subcontractor will be active in the Facility in both the rectification of Minor Deficiencies and the completion of Project Co Commissioning, and MHCP HRRH shall take commercially reasonable steps to allow such activities to proceed in accordance with the Final Commissioning Program. (c) Project Co acknowledges that, prior to and during the Hospital Commissioning Period, Project Co and each Subcontractor shall cooperate with MHCP HRRH and all MHCP HRRH Parties and use commercially reasonable efforts to ensure that all requirements, and the timing and sequence of such requirements, of the Hospital Commissioning activities are able to be completed in the timeframe for completion set out in the Final Commissioning Program.

(c) Project Co acknowledges that, prior to and during the Hospital Commissioning Period, Project Co and each Subcontractor shall cooperate with MHCP HHS and all MHCP HHS Parties and use commercially reasonable efforts to ensure that all requirements, and the timing and sequence of such requirements, of the Hospital Commissioning activities are able to be completed in the timeframe for completion set out in the Final Commissioning Program.

(b) MHCP WGH acknowledges that, during the Hospital Commissioning Period, Project Co and each Subcontractor its Subcontractors will be active in the Facility in both the rectification of Minor Deficiencies and the completion of Project Co Commissioning, and MHCP WGH shall take commercially reasonable steps to allow such activities to proceed in accordance with the Final Commissioning Program. (c) Project Co acknowledges that, prior to and during the Hospital Commissioning Period, Project Co and each Subcontractor its Subcontractors shall cooperate with MHCP WGH and all MHCP WGH Parties and use commercially reasonable efforts to ensure that all requirements, and the timing and sequence of such requirements, requirements of the Hospital Commissioning activities are able to be completed in the timeframe time frame for completion set out in the Final Commissioning Program.

MHCP CAMH shall comply, and shall ensure that all MHCP CAMH Parties comply, with the directions, procedures and safety guidelines established by Project Co for the Site and shall use commercially reasonable efforts to minimize disruption to the Project Operations in performing the Hospital Commissioning. (b) MHCP CAMH acknowledges that, during the Hospital Commissioning Period, Project Co and each Subcontractor its Subcontractors will be active in the Facility in both the rectification of Minor Deficiencies and the completion of Project Co Commissioning, and MHCP CAMH shall take commercially reasonable steps to allow such activities to proceed in accordance with the Final Commissioning Program. (c) Project Co acknowledges that, prior to and during the Hospital Commissioning Period, Project Co and each Subcontractor its Subcontractors shall cooperate with MHCP CAMH and all MHCP CAMH Parties and use commercially reasonable efforts to ensure that all requirements, and the timing and sequence of such requirements, of the Hospital Commissioning activities are able to be completed in the timeframe for completion set out in the Final Commissioning Program.

Prior to Substantial Completion, Project Co shall give MHCP WCH full access to the Site, the Facility and all relevant parts thereof at such times as may be set out in the Final Commissioning Program to enable MHCP WCH to undertake the Hospital Commissioning in accordance with the Final Commissioning Program. MHCP WCH shall comply, and shall ensure that all MHCP WCH Parties comply, with the directions, procedures and safety guidelines established by Project Co for the Site and shall use commercially reasonable efforts to minimize disruption to the Project Operations in performing the Hospital Commissioning. (b) MHCP WCH acknowledges that, during the Hospital Commissioning Period, Project Co and each Subcontractor Project Co Party will be active in the Facility in both the rectification of Minor Deficiencies and the completion of Project Co Commissioning, and MHCP WCH shall take commercially reasonable steps to allow such activities to proceed in accordance with the Final Commissioning Program. (c) Project Co acknowledges that, prior to and during the Hospital Commissioning Period, Project Co and each Subcontractor Project Co Party shall cooperate with MHCP WCH and all MHCP WCH Parties and use commercially reasonable efforts to ensure that all requirements, and the timing and sequence of such requirements, of the Hospital Commissioning activities are able to be completed in the timeframe for completion set out in the Final Commissioning Program.

Prior to Substantial Completion, Project Co shall give MHCP SJHC full access to the SiteSites, the Facility and all relevant parts thereof at such times as may be set out in the Final Commissioning Program to enable MHCP SJHC to undertake the Hospital Commissioning in accordance with the Final Commissioning Program. MHCP SJHC shall comply, and shall ensure that all MHCP SJHC Parties comply, with the directions, procedures and safety guidelines established by Project Co for the Site Sites and shall use commercially reasonable efforts to minimize disruption to the Project Operations in performing the Hospital Commissioning. (b) MHCP SJHC acknowledges that, during the Hospital Commissioning Period, Project Co and each Subcontractor will be active in the Facility in both the rectification of Minor Deficiencies and the completion of Project Co Commissioning, and MHCP SJHC shall take commercially reasonable steps to allow such activities to proceed in accordance with the Final Commissioning Program. (c) Project Co acknowledges that, prior to and during the Hospital Commissioning Period, Project Co and each Subcontractor shall cooperate with MHCP SJHC and all MHCP SJHC Parties and use commercially reasonable efforts to ensure that all requirements, and the timing and sequence of such requirements, of the Hospital Commissioning activities are able to be completed in the timeframe for completion set out in the Final Commissioning Program.

MHCP NHS shall comply, and shall ensure that all MHCP NHS Parties comply, with the directions, procedures and safety guidelines established by Project Co for the Site and shall use commercially reasonable efforts to minimize disruption to the Project Operations in performing the Hospital Commissioning. (b) MHCP NHS acknowledges that, during the Hospital Commissioning Period, Project Co and each Subcontractor its Subcontractors will be active in the Facility in both the rectification of Minor Deficiencies and the completion of Project Co Commissioning, and MHCP NHS shall take commercially reasonable steps to allow such activities to proceed in accordance with the Final Commissioning Program.
