Common use of HSR Waiting Period Clause in Contracts

HSR Waiting Period. The waiting period applicable to the consummation of the transactions contemplated by this Agreement (and any extension thereof) under the HSR Act shall have expired or been terminated, and there shall not be in effect any agreement between the Parties and the Federal Trade Commission, the United States Department of Justice Antitrust Division, or any other Governmental Authority pursuant to which the Parties have agreed not to consummate the transactions contemplated by this Agreement for any period of time.

HSR Waiting Period. The applicable waiting period applicable to the consummation of the transactions contemplated by this Agreement (and any extension thereof) under the HSR Act shall have expired or been terminated, and there shall not be in effect any agreement between earlier terminated without action by the Parties and DOJ or the Federal Trade Commission, the United States Department FTC to prevent consummation of Justice Antitrust Division, or any other Governmental Authority pursuant to which the Parties have agreed not to consummate the transactions contemplated by this Agreement for any period of timeAgreement.

HSR Waiting Period. The Any applicable waiting period applicable to the consummation of the transactions contemplated by this Agreement (and any extension thereof) under the HSR Act shall have terminated or expired or been terminated(giving effect to all extensions thereto) and no court of competent jurisdiction shall have issued an order of injunction, and there shall not be in effect any agreement between the Parties and upon petition of the Federal Trade Commission, Commission or the United States Department of Justice Antitrust Division(the “Justice Department”), or any other Governmental Authority pursuant to which restraining the Parties have agreed not to consummate consummation of the transactions contemplated by this Agreement for any period of timeClosing.

The applicable waiting period applicable to the consummation of the transactions contemplated by this Agreement (and any extension thereof) under the HSR Act shall have expired or been terminated, and there shall not be in effect any agreement between the Parties and the Federal Trade Commission, earlier terminated without action by the United States Department of Justice Antitrust Division, ("DOJ") or any other Governmental Authority pursuant the United States Federal Trade Commission ("FTC") to which the Parties have agreed not to consummate prevent consummation of the transactions contemplated by this Agreement for any period of timeAgreement.
