Hxxx-Xxxxx. Xxxxxx Act shall mean the Hxxx-Xxxxx-Xxxxxx Improvement Act of 1976, as from time to time in effect. Hazardous Materials shall mean and include any substance, material, waste, constituent, compound, chemical, natural or man-made element or force (in whatever state of matter): (a) the presence of which requires investigation or remediation under any Environmental Law; or (b) that is defined as a “hazardous waste” or “hazardous substance” under any Environmental Law; or (c) that is toxic, explosive, corrosive, etiologic, flammable, infectious, radioactive, carcinogenic, mutagenic or otherwise hazardous and is regulated by any applicable Authority or subject to any Environmental Law; or (d) that contains polychlorinated biphenyls (“PCBs”) and PCB-containing equipment, radon, lead, asbestos or asbestos-containing materials, or urea formaldehyde foam insulation. Independent Accountants shall have the meaning given to it in Section 3.3(c).

Hxxx-Xxxxx. Within ten (10) Business Days after the execution of this Agreement, Seller and Buyer shall each file all notification reports required under the HSR Act in connection with the transaction contemplated by this Agreement. Seller and Buyer agree to (i) cooperate with each other in attempting to secure the early termination of any waiting periods imposed on the transaction contemplated by this Agreement under the HSR Act, and (ii) use their best efforts to supply the Federal Trade Commission and the Department of Justice with any additional requested information or documentary materials in connection with the parties efforts to obtain the early termination of any waiting periods imposed on the transaction contemplated by this Agreement by the HSR Act or any clearances of the transaction contemplated by this Agreement required under the HSR Act, as expeditiously as possible. Buyer shall pay all filing fees due any governmental authority in connection with any filings that Buyer and Seller are required to make under the HSR Act in connection with the transaction contemplated by this Agreement. If any waiting period imposed on the consummation of the transaction contemplated by this Agreement under the HSR Act has not terminated or expired as of the date that is ten (10) Business Days prior to the Scheduled Closing Date, the Closing shall be postponed until ten (10) Business Days after such waiting period has terminated or expired. If any such waiting period has not been terminated or has not expired by the date which is one hundred twenty (120) days after the Execution Date, then either Buyer or Seller may terminate this Agreement at any time thereafter, by giving written notice to the other party, in which case the Exxxxxx Money shall be refunded to Buyer.
