IEEE FOUNDATION BOARD OF DIRECTORS. The activities of the Foundation shall be managed by its Board of Directors. The Foundation Board shall establish policy, oversee the activities of its committees and committees of the Foundation, and approve all grants and contributions and other financial obligations of the Foundation. Article III of the Foundation bylaws describes the make-up of the Foundation Board along with the rules and procedures governing elections to membership and its operation. In addition, the IEEE Treasurer shall be a corresponding member of the Foundation Board and shall receive notices, agendas, and minutes of Board meetings, may participate in all meetings without a vote, and may attend all Board meetings at their own expense.
