Immunity of Officers, Employees and Members of Authority, the Borrowers and Members of the Obligated Group. No recourse shall be had for the payment of the principal of or premium or interest owing hereunder or on the Series 2017 Obligation or any other Obligation pledged under the Bond Indenture or for any claim based thereon or upon any representation, obligation, covenant or agreement in this Loan Agreement contained against any past, present or future officer, member, employee, director or agent of the Authority, a Borrower, or any other Member of the Obligated Group, respectively, or any successor public or private corporation thereto, as such, either directly or through the Authority, such Borrower, or any other Member, or any incorporator, officer, director, member, trustee, employee or agent or any successor public or private corporation thereto under any rule of law or equity, statute or constitution or by the enforcement of any assessment or penalty or otherwise, and all such liability of any such officers, members, employees, directors or agents, as such, is hereby expressly waived and released as a condition of and consideration for the execution of this Loan Agreement and the issuance of the Obligations pledged under the Bond Indenture.

  • SENIORITY OF OFFICERS A. Each of the Chairman of the Board, the Chief Executive Officer, the President, each Senior Vice President and each Vice President of the Depositor is hereby appointed as an Officer of the Trust. The Depositor shall promptly deliver to the Owner Trustee and the Indenture Trustee a list of its officers who shall become the Officers of the Trust pursuant to this Section 11.01.
