The Company reserves the right to impose other requirements on the Participant’s participation in the Plan, on the RSUs and on any Shares acquired under the Plan, to the extent the Company determines it is necessary or advisable for legal or administrative reasons, and to require the Participant to sign any additional agreements or undertakings that may be necessary to accomplish the foregoing.

The Company reserves the right to impose other requirements on the Participant’s participation in the Plan, on the RSUs PSUs and on any Shares acquired under the Plan, Plan to the extent that the Company determines it is are necessary or advisable for legal or administrative reasons, except that with respect to awards that are subject to Section 409A of the Code and the guidance thereunder (“Section 409A”), to the extent so permitted under Section 409A. Furthermore, the parties hereto agree to execute such further instruments and to require the Participant to sign any additional agreements or undertakings that take such further action as may reasonably be necessary to accomplish carry out the foregoingintent of this Agreement and the Plan.

The Company reserves the right to impose other requirements on upon the Participant’s participation in the Plan, on the RSUs and on any Shares acquired under the Plan, to the extent the Company determines it is necessary or advisable for legal or administrative reasons, and to require the Participant to sign any additional agreements or undertakings that may be necessary to accomplish the foregoing.
