IMPRACTICABILITY AND FORCE MAJEURE. ICN shall not be required to provide any Service to the extent the performance of such Service becomes impracticable as a result of a cause or causes outside the control of ICN or to the extent the provision of such Service would require ICN to violate any applicable laws, rules or regulations. ICN shall have no obligation to perform or cause the Services to be performed if its failure to do so is caused by or results from any act of God, governmental action, natural disaster, strike, failure of essential equipment or any other cause or circumstance beyond the control of ICN or, if applicable, third party providers of services to ICN. ICN will notify Ribapharm of any such event affecting its Services to Ribapharm. ICN agrees that following any such event, Ribapharm shall have no obligation to pay for the Services affected thereby and ICN will use its reasonable best efforts to restore such Services.
IMPRACTICABILITY AND FORCE MAJEURE. A Service Provider shall not be required to provide any Service to the extent the performance of such Services becomes impracticable as a result of a cause or causes outside the reasonable control of the Service Provider or to the extent the provision of such Service would require the Service Provider to violate any applicable laws, rules or regulations or would result in the breach of any applicable contract or contracts (collectively, "IMPRACTICABILITY"), subject to Section 2.09 below. A Service Provider shall have no obligation to perform or cause a Service to be performed if its failure to do so is caused by or results from any act of God, governmental action, natural disaster, strike, failure of essential equipment or any other cause or circumstance beyond the control of the Service Provider or, if applicable, any third-party provider of services to the Service Provider (an "EVENT OF FORCE MAJEURE"). The Service Provider will notify the Service Recipient of any Event of Force Majeure affecting its Services. The Service Provider agrees that following any Event of Force Majeure, the Service Recipient shall have no obligation to pay for the Services affected thereby and the Service Provider will use its reasonable best efforts to restore such Services.

Neither ICN nor Ribapharm shall be required to provide any Service to the extent the performance of such Service becomes impracticable as a result of a cause or causes outside the control of ICN or Ribapharm, as the case may be, or to the extent the provision of such Service would require ICN or Ribapharm, as the case may be, to violate any applicable laws, rules or regulations. ICN or Ribapharm, as the case may be, shall have no obligation to perform or cause the Services to be performed if its failure to do so is caused by or results from any act of God, governmental action, natural disaster, strike, failure of essential equipment or any other cause or circumstance beyond the control of ICN or, if applicable, third party providers of services to ICN. Each party will notify the other party of any such event affecting Services to it is required to perform. Each party agrees that following any such event, the other party shall have no obligation to pay for the Services affected thereby and the party required to perform the Services will use its reasonable best efforts to restore such Services.

A party shall not be required to provide any Service to the extent the performance of such Service becomes impracticable as a result of a cause or causes outside the reasonable control of the party providing the service, or to the extent the performance of such Service would require a party to violate any applicable laws, rules or regulations. Each party will also be excused for any failure or delay in performing any of its obligations under this Agreement if such failure or delay is caused by Force Majeure.

SPX shall not be required to provide any Service to the extent the performance of such Service becomes impracticable as a result of a cause or causes outside the control of SPX or to the extent the provision of such Service would require SPX to violate any applicable laws, rules or regulations or become subject to any additional rules or regulations. SPX shall have no obligation to perform or cause the Services to be performed if its failure to do so is caused by or results from any act of God, governmental action, natural disaster, strike, failure of essential equipment or any other cause or circumstance beyond the control of SPX or, if applicable, third party providers of services to SPX (an "Event of Force Majeure"). SPX will notify the Company of any Event of Force Majeure affecting its Services to the Company. SPX agrees that following any Event of Force Majeure and until such Services are restored, the Company shall have no obligation to pay for the Services affected thereby. SPX agrees to use its commercially reasonable best efforts to restore such Services following any Event of Force Majeure.

SGI shall have no obligation to perform or cause the services to be performed if its failure to do so is caused by or results from any act of God, governmental action, natural disaster, strike, failure of essential equipment or any other cause or circumstance beyond the control of SGI or, if applicable, third party providers of services to SGI (an "Event of Force Majeure"). SGI will notify the Company of any Event of Force Majeure affecting its services to the Company. SGI agrees that following any Event of Force Majeure, the Company shall have no obligation to pay for the services affected thereby and SGI will use its reasonable best efforts to restore such services.

Silicon Graphics shall not be required to provide any Service to the extent the performance of such Service becomes impracticable as a result of a cause or causes outside the reasonable control of Silicon Graphics or to the extent the provision of such Service would require Silicon Graphics to violate any applicable laws, rules or regulations or would result in the breach of any applicable contract or contracts. Silicon Graphics shall have no obligation to perform or cause the Services to be performed if its failure to do so is caused by or results from any act of God, governmental action, natural disaster, strike, failure of essential equipment or any other cause or circumstance beyond the control of Silicon Graphics or, if applicable, third party providers of services to Silicon Graphics (an "Event of Force Majeure"). Silicon Graphics will notify the Company of any Event of Force Majeure affecting its Services to the Company. Silicon Graphics agrees that following any Event of Force Majeure, the Company shall have no obligation to pay for the Services affected thereby and Silicon Graphics will use its reasonable best efforts to restore such Services.

Phoenix shall not be required to provide any Service to the extent the performance of such Service becomes impracticable as a result of a cause or causes outside the reasonable control of Phoenix or to the extent the provision of such Service would require Phoenix to violate any applicable laws, rules or regulations or would result in the breach of any applicable contract or contracts. Phoenix shall have no obligation to perform or cause the services to be performed if its failure to do so is caused by or results from any act of God, governmental action, natural disaster, strike, failure of essential equipment or any other cause or circumstance beyond the control of Phoenix or, if applicable, third party providers of services to Phoenix (an "Event of Force Majeure"). Phoenix will notify inSilicon of any Event of Force Majeure affecting its services to inSilicon. Phoenix agrees that following any Event of Force Majeure, inSilicon shall have no obligation to pay for the services affected thereby and Phoenix will use its reasonable best efforts to restore such services.
IMPRACTICABILITY AND FORCE MAJEURE. GU/MSB shall not be required to provide, or cause to provide, any Services to the extent the performance of such Services becomes impracticable as a result of a cause or causes outside the reasonable control of GU/MSB, or to the extent the provision of such Services would require GU/MSB to violate any applicable laws. GU/MSB shall not have any obligation to perform any Services under this Agreement if its failure to perform is caused by or results from any act of God, governmental action, natural disaster, strike or any other cause or circumstance beyond the reasonable control of GU/MSB (an “Event of Force Majeure”). GU/MSB will notify Purchaser of any Event of Force Majeure and will use its commercially reasonable efforts to restore such Services. Purchaser is not required to pay for Services it does not receive caused by an Event of Force Majeure.
IMPRACTICABILITY AND FORCE MAJEURE. Cabot shall not be required to provide any Service to the extent the performance of such Service becomes impracticable as a result of a cause or causes outside the control of Cabot or to the extent the provision of such Service would require Cabot to violate any applicable laws, rules or regulations. Cabot shall have no obligation to perform or cause the Services to be performed if its failure to do so is caused by or results from any act of God, governmental action, natural disaster, strike, failure of essential equipment or any other cause or circumstance beyond the control of Cabot or, if applicable, third party providers of services to Cabot (an "Event of Force Majeure"). Cabot will notify CMC of any Event of Force Majeure affecting its Services to CMC. Cabot agrees that following any Event of Force Majeure, CMC shall have no obligation to pay for the Services affected thereby and Cabot will use its reasonable best efforts to restore such Services.
