Common use of Indemnification of Losses of Employee Clause in Contracts

Indemnification of Losses of Employee. COMPANY shall, to the maximum extent permitted by law, indemnify EMPLOYEE against expenses (including reasonable attorney's fees), judgments, fines, settlements, and other amounts actually and reasonably incurred in connection with any proceedings arising by reason of the fact that EMPLOYEE is, or was, an employee, officer or agent of COMPANY. COMPANY shall advance to EMPLOYEE expenses incurred in defending any such proceedings to the maximum extent permitted by law. COMPANY's obligations under this Section shall not cease upon termination of this Agreement. EMPLOYEE may select legal counsel, at his sole discretion, to represent him in any such proceedings.
