Common use of Indemnification of the Province and Canada Clause in Contracts

Indemnification of the Province and Canada. The Recipient will indemnify and hold harmless the Indemnified Parties from and against any Loss and any Proceeding based upon or occasioned by: (a) any injury to any Person, including, but not limited to, death, economic loss, or any infringement of rights; (b) any damage to, or loss or destruction of, property of any Person; or (c) any obligation of any Person, including, but not limited to, any obligation arising from a loan, capital lease, or other long-term obligation, except to the extent to which such Loss or Proceeding is caused by the negligence or wilful misconduct of any Indemnified Party in the performance of that Indemnified Party’s duties.

Indemnification of the Province and Canada. The Recipient will hereby agrees to indemnify and hold harmless the Indemnified Parties from and against any Loss and all liability, loss, costs, damages, expenses (including legal, expert, and consultant fees), causes of action, actions (whether in contract, tort, or otherwise), claims, demands, lawsuits, or other proceedings, by whomever made, sustained, incurred, brought, or prosecuted, in any Proceeding manner based upon or occasioned by: (a) by any injury to any Personpersons, including, but not limited damage to, deathloss, or destruction of property, economic loss, or any infringement of rights; rights caused by, in any way arising out of (b) any damage towhether directly or indirectly), in connection with the Project, or loss or destruction ofotherwise in connection with the Agreement (collectively, property of any Person; or (c) any obligation of any Person“Action”), including, but not limited to, any obligation arising from a loan, capital lease, or other long-term obligation, except to the extent to which unless such Loss or Proceeding Action is solely caused by the negligence or wilful misconduct of any an Indemnified Party in the performance of that Indemnified Party’s dutieshis or her duty.
