Communications Protocol. The Parties agree to be bound by the terms and conditions of the communications protocol provided for in Schedule “G” (Communications Protocol).
Communications Protocol. (a) The Contracting Parties shall not issue or disseminate any media release, public announcement or public disclosure (whether for publication in the press, on the radio, television, internet or any other medium) relating to the Project, this Project Agreement or any matters related thereto, without the prior written consent of Hospital, in its sole and absolute discretion, provided that if a Contracting Party is a public company it shall be entitled to make such disclosure as is required by Applicable Law subject to reasonable consultation with Hospital prior to such disclosure.
(b) The Contracting Parties shall, and shall ensure that their subcontractors, agents, Affiliates, employees, officers and directors, in each case, comply, at all times, with Hospital’s and Infrastructure Ontario’s media release and publicity protocols or guidelines, as such protocols and/or guidelines are updated by Hospital and Infrastructure Ontario from time to time, provided that if any such Person is a public company it shall be entitled to make such disclosure as is required by Applicable Law subject to reasonable consultation with Hospital prior to such disclosure.
(c) Hospital, either on its own or together with Infrastructure Ontario, proposes to establish a public information repository for the Project which may be website based as well as a hard copy document repository for purposes of communicating to the public information respecting the Project and the progress of the construction work. It is not intended that this information repository would include any information which falls within one of the exemptions under FIPPA although the information repository may also contain the redacted versions of this Project Agreement or any of the Implementing Agreements pursuant to Section 5.3 below. Other than in respect to such redacted publications, Hospital on its own or together with Infrastructure Ontario will establish a communications protocol in consultation with the Contracting Parties for the development and management of the information repository.
Communications Protocol. 8.1 The Proponent acknowledges that it has been informed by the County, that under the terms of the CMHC – Ontario Agreement for COCHI all affordable County Housing, including written materials and signs, respecting the Project must recognize the contributions of CMHC, the Minister and the County. The Proponent further acknowledges that it has been informed by the County that the CMHC – Ontario Agreement for Investment in Affordable Housing 2011-2014 requires the Minister to coordinate with CMHC and/or obtain CMHC’s approval with respect to communications, signage, and advertising matters. The Proponent agrees that it shall not do or omit to do any act, which will cause the County to be in breach of the terms of the CMHC – Ontario Agreement for COCHI.
8.2 The Proponent shall co-operate in organizing press conferences, announcements, and official ceremonies to be held at an appropriate location and time respecting the Project, insofar as it relates to the Program, or respecting its participation in the Program or respecting the Program in any other respect without the prior written consent of the County.
8.3 CMHC, Ontario and the County may provide and install, where appropriate, a plaque or permanent sign bearing an appropriate inscription. The design, wording and specifications of such permanent signs shall be provided by the County.
8.4 The Proponent acknowledges that any breach by it of Sections 8.2 or 8.3 of this Agreement shall cause the County to be in breach of the CMHC – Ontario Agreement for Investments in Affordable Housing 2011-2014.
Communications Protocol. As applicable, the Parties shall establish a communications protocol in respect of the Programs and Services governed by this Memorandum of Understanding.
Communications Protocol. (i) Seller and Buyer have developed, or will develop within a reasonable period of time after the Effective Date, written communications procedures for the Facilities (the “Communications Protocol”), which include processes related to Seller’s interface with MISO, ATC, ERO and other Governing Authorities, operating communications between and among the Dispatch Authority Function and the Balancing Authority Function and testing procedures. The Communications Protocol is deemed incorporated herein by this reference.
(ii) The Communications Protocol shall be reviewed by the Administrative Committee no less than annually and any mutually agreed changes shall be made. In the event the Parties are unable to agree upon any changes to the Communications Protocol, such disagreement shall be resolved in accordance with the Dispute Resolution Procedures.
Communications Protocol a) The Parties will comply with Schedule C (Communications Protocol).
b) The Recipient will acknowledge Canada’s contribution in all signage and public communication produced as part of the Project or Agreement, in a manner acceptable to Canada, unless Canada communicates in writing to the Recipient that this acknowledgement is not required.
c) The Recipient acknowledges that the following may be made publicly available by Canada:
i. its name, the amount awarded by Canada, and the general nature of the Project; and
ii. any evaluation or audit report and other reviews related to this Agreement.
Communications Protocol. All Parties agree to inform the other Parties before issuing any press release relating to the Project.
Communications Protocol. Developer shall document meetings and conference calls (with three or more parties) with potential Lenders and shall promptly provide the Department (and its advisors) with minutes of any meeting. The Department shall have the right to attend, but will not be in charge of, meetings and conference calls. Any material information and clarifications about the IPDC process that are communicated to one potential Lender shall be promptly shared with all other identified potential Lenders. Responses to potential Lender questions, comments and requests for clarifications, and any clarifications to be requested from potential Lenders, will be prepared by Xxxxxxxxx’s Finance Team and subject to review and comment by the Department’s Finance Team. Developer will issue responses and requests for clarifications after carefully considering such comments. THIS DIRECT AGREEMENT dated as of , 20 (this “Direct Agreement”), among: the California Department of Transportation, a public agency of the State of California (the “Department”); [name of Developer] a [corporate form] incorporated in [state of incorporation] (“Developer”); and [Lenders’ Collateral Agent or Indenture Trustee], as Trustee or Collateral Agent (in such capacity, together with its successors in such capacity, the “Collateral Agent”) for the Lenders (as defined in the Agreement).

9.2 The Proponent shall co-operate in organizing press conferences, announcements, and official ceremonies to be held at an appropriate location and time respecting the Project, insofar as it relates to the Program, or respecting its participation in the Program or respecting the Program in any other respect without the prior written consent of the City.
9.3 During the period of the Development Activities related to the Project, the Proponent shall erect a sign at a prominent location where there is visible activity related to the approved Project. The sign shall include that it is a CMHC-Ontario-City Investment in Affordable Housing Project, bear a message approved by the three levels of government, and remain in place throughout the construction period. The sign shall be in accordance with specifications issued by the City. The cost of the sign is included in the funding provided by CMHC, Province and City under the IAH.
9.4 CMHC, Ontario and the City may provide and install, where appropriate, a plaque or permanent sign bearing an appropriate inscription. The design, wording and specifications of such permanent signs shall be provided by the City.
9.5 The Proponent acknowledges that any breach by it of sections 9.2 or 9.3 of this Agreement shall cause the City to be in breach of the CMHC - Ontario Agreement for Investment in Affordable Housing 2011-2014.
