Indemnity and reimbursement payments. If one party must indemnify or reimburse another party (“payee”) for any loss or expense incurred by the payee, the required payment does not include any amount which the payee (or an entity that is in the same GST group as the payee) is entitled to claim as an input tax credit, but will be increased under clause 14.1 if the payment is consideration for a taxable supply.

Indemnity and reimbursement payments. Without limiting clause 10.2, if a party (payer) is required to reimburse another party (payee) for a cost (eg, if the payer is obliged to pay the payee’s legal costs), or a payer is obliged to make a payment to a payee under an indemnity, the reimbursement or indemnity is for the payee’s cost inclusive of GST but excludes any GST component of the cost for which the payee is entitled to claim an input tax credit.
