Subcontractor Personnel. 7.1. In addition to any other remedies that Amdocs may have in the event of substandard performance by Subcontractor, in the event that any Subcontractor Personnel is found to be unacceptable to Amdocs, Amdocs shall notify Subcontractor of such fact and Subcontractor shall immediately remove said Personnel and, if requested by Amdocs, replace such Personnel with a person acceptable to Amdocs of suitable education, qualifications and experience within [**] days of said notice. 7.2. Subcontractor agrees to use reasonable efforts to ensure the continuity of Subcontractor Personnel assigned to perform its obligations. 7.3. If at any time [**] or Amdocs requires removal of Subcontractor Personnel, and [**] or Amdocs so inform Subcontractor, then Subcontractor shall promptly remove such individual from the applicable Project and from [**]’s and Amdocs’ respective premises. 7.4. All Subcontractor Personnel shall clearly identify themselves as Subcontractor Personnel and not as employees of Amdocs or [**]. This shall include any and all communications, whether oral, written or electronic. 7.5. Amdocs is committed to complying with all applicable immigration laws of the United States, including the Immigration Reform and Control Act of 1986, as amended. This law requires that all employees hired since 1986 provide proof of identity and employment eligibility before they can work in the United States. It is the policy of Amdocs to comply fully with this requirement, and to require compliance by all suppliers and subcontractors performing services in the United States at Amdocs’ or its clients’ worksites. Subcontractor shall not place Subcontractor Personnel at a Amdocs or [**] worksite in the United States, nor shall Subcontractor permit any Personnel to perform any work in the United States on behalf of or for the benefit of Amdocs, without first verifying and ensuring said Personnel’s authorization to lawfully work in the United States. To that end, Subcontractor represents that: (a) Subcontractor maintains and follows an established policy to verify the employment authorization of Personnel, and to ensure continued compliance for the duration of employment, (b) Subcontractor has verified the identity and employment eligibility of all Personnel, in compliance with applicable law, and (c) Subcontractor is without knowledge of any fact that would render any Subcontractor Personnel ineligible to work legally in the United States.
Subcontractor Personnel. To the extent that the Client Agreement defines Supplier Personnel to include “Subcontractor Personnel,” the Client Agreement terms so referenced shall expressly apply to Subcontractor and its personnel.
Subcontractor Personnel. Subcontractor is responsible and liable for the acts, omissions, and performance of Subcontractor Personnel, including each of their compliance with the terms of the Agreement, and all such acts, omissions, and performance will be deemed those of Subcontractor for purposes of the Agreement. Subcontractor may only engage its employees to provide the Services and may not subcontract, in whole or in part, the Services, without prior written consent of Pavion. Subcontractor has sole responsibility for the direction of its employees and has the right to fire, hire, suspend, layoff, transfer or reassign employees at will without the consent of Pavion. Subcontractor is solely responsible for the payment of Subcontractor Personnel compensation, including, if applicable, withholding of income taxes, and the payment and withholding of social security and other payroll taxes, unemployment insurance, workers’ compensation insurance payments, and disability benefits. Upon Pavion’s request, with or without cause, Subcontractor will remove any Subcontractor Personnel who, in the opinion of Pavion, may be guilty of improper or unprofessional conduct or who are not qualified to provide the Services. To the extent not prohibited by applicable law, Subcontractor will perform background checks on all Subcontractor Personnel prior to such Subcontractor Personnel’s provision of Services under the Agreement, and, upon Pavion’s written request, Subcontractor will provide copies of such background check reports to Pavion.
Subcontractor Personnel. 22.1 The Subcontractor is responsible for selecting personnel who are well qualified to perform under this Subcontract, for supervising the techniques used in performance and for keeping them informed of all improvements, changes, methods or operations. 22.2 The Subcontractor shall have the right to replace or transfer his personnel and to substitute other personnel of equal or greater qualification in lieu thereof, provided that such transfers or replacements will not cause a delay in performance. 22.3 The Contractor may direct, at its sole discretion, the Subcontractor to remove, and the Subcontractor shall remove, any employee from assignment to this Subcontract for reasons of security or misconduct. Replacement shall be at the Subcontractor’s expense and not chargeable to the Contractor.
Subcontractor Personnel. Subcontractor personnel who provide services to Interwoven under this Agreement may perform similar services for others during the term of this Agreement, with the exception of competitors of Interwoven. Subcontractor will make reasonable efforts to honor specific requests of Interwoven regarding assignment of Subcontractor personnel, but Subcontractor reserves the right to make and change all such assignments, provided that Interwoven shall retain the right to reject the specific personnel assigned to Projects.
Subcontractor Personnel. 5.1 SUBCONTRACTOR must remove from the SERVICES forthwith and without question any persons who in the reasonable opinion of OPTIMUS or the CLIENT are incompetent, negligent, and/or whose performance is otherwise detrimental to the satisfactory performance of the SERVICES and if so instructed by OPTIMUS shall promptly and without additional cost or expense to OPTIMUS replace such person(s) with substitutes acceptable to OPTIMUS and the CLIENT. Any such requirement of OPTIMUS and / or the CLIENT shall be final and shall not be capable of being disputed in any arbitration or litigation. 5.2 SUBCONTRACTOR must not remove any personnel from the SERVICES without providing twenty one (21) days written notice to OPTIMUS.
