INDEMNITY - CIVIL AND CRIMINAL ACTIONS. OC agrees: (a) that it will not seek indemnity against an employee whose actions result in the liability of OC to a third person, and (b) that it will pay any judgement against an employee which arises from the conduct of the employee within the scope of the employee's employment and all reasonable legal costs incurred by the employee in defending the legal proceedings brought against the employee which result in that judgement, unless a joint union-OC committee by a majority thereof finds that the conduct of the employee which was the basis of the liability or judgement was grossly negligent, intentionally or flagrantly.
