INDEMNITY - CIVIL AND CRIMINAL ACTIONS. The University agrees: (a) that it will not seek indemnity against an employee whose actions result in the liability of the University to a third persons; and (b) that it will pay any judgement against an employee which arises from the conduct of the employee within the scope of the employee's employment and all reasonable legal costs incurred by the employee in defending the legal proceedings brought against the employee which result in that judgement.
