Indemnity If Successful. To the fullest extent permitted by law, the Company shall indemnify any Person who is or was a Manager, Member, officer, controlling Person, legal representative or agent of the Company, or is or was serving at the request of the Company as a member, manager, director, officer, partner, shareholder, controlling Person, legal representative or agent of another limited liability company, corporation, partnership, joint venture, trust or other enterprise against expenses, including reasonable attorneys’ fees, actually and reasonably incurred by him or her in connection with the defense of any action, suit or proceeding referred to in Sections 10.01 and 10.02 or in defense of any claim, issue or matter therein, to the extent that such Person has been successful on the merits.
Indemnity If Successful. The Company shall indemnify a Managing Member, Member, Officer, director, controlling person, employee, legal representative or agent of the Company against expenses, including attorneys' fees, actually and reasonably incurred by such party in connection with the defense of any action, suit or proceeding referred to in Sections 10.1 and 10.2 hereof or in defense of any claim, issue or matter therein, to the extent that such person or entity has been successful on the merits.
Indemnity If Successful. To the fullest extent permitted by law, the Company shall indemnify each Indemnified Person against expenses, including reasonable attorneys’ fees, actually and reasonably incurred by such Person in connection with the defense of any action or omission referred to in Section 10.01 or in defense of any claim, issue or matter therein, to the extent that such Person has been successful on the merits.

To the fullest extent permitted by law, and subject to the provisions of the Basic Documents, the Company shall indemnify any Person who is or was a Manager, Member, officer, controlling Person, legal representative or agent of the Company, or is or was serving at the request of the Company as a member, manager, director, officer, partner, shareholder, controlling Person, legal representative or agent of another limited liability company, corporation, partnership, joint venture, trust or other enterprise against expenses, including reasonable attorneys’ fees, actually and reasonably incurred by him or her in connection with the defense of any action, suit or proceeding referred to in Sections 10.01 and 10.02 or in defense of any claim, issue or matter therein, to the extent that such Person has been successful on the merits.
Indemnity If Successful. To the extent that a Member, Manager, employee or agent of this Company has been .successful on the merits or otherwise in defense of any action, suit or proceeding referred to in Sections 13.1 and 13.2, or in defense of any claim, issue or matter therein, this Company does hereby indemnify such person or entity against expenses, subject to the provisions of Section 13.4 hereof, including attorneys' fees, actually and reasonably incurred by him in connection with the defense.

To the extent that a director, officer, employee or agent of the Corporation has been successful on the merits or otherwise in defense of any action, suit or proceeding referred to in Section 1 or 2 of this Article, or in defense of any claim, issue or matter therein, he or she shall be indemnified against expenses (including attorneys' fees) actually and reasonably incurred by him or her in connection therewith.

To the extent that a Covered Person has been successful on the merits or otherwise in defense of any action, suit or proceeding referred to in Sections 13.4 and 13.5, or in defense of any claim, issue or matter therein, the Company does hereby indemnify such Covered Person against expenses, including attorneys' fees actually and reasonably incurred by it in connection with the defense.

The Partnership will indemnify a Partner, Governor, director, officer, employee or agent of the Partnership against expenses, including attorneys' fees, actually and reasonably incurred by him or it in connection with the defense of any action, suit or proceeding referred to in Sections 13.01 and 13.02 or in defense of any claim, issue or matter therein, to the extent that such person or entity has been successful on the merits.
Indemnity If Successful. To the extent that a Member, Manager, employee, agent of the Company, or other indemnified party, has been successful on the merits or otherwise in defense of any action, suit or proceeding described in this Section 5.8, or in defense of any claim, issue or matter therein, the Company will indemnify such party against expenses, including attorneys’ fees, actually and reasonably incurred in connection with the defense.
