Indenture; Lease Agreement. This Bond is one of an authorized issue of bonds (the “Bonds”), limited to $85,000,000 in principal amount, issued under the Indenture of Trust dated as of December 1, 2010 (the “Indenture”), between the Parish of St. Xxxxx, State of Louisiana (the “Issuer”) and U.S. Bank National Association, as trustee (the “Trustee”). The terms of the Bonds include those in the Indenture. Bondholders are referred to the Indenture for a statement of those terms. Capitalized terms used herein and not otherwise defined shall have the meanings ascribed to them in the Indenture. The Issuer will issue the Bonds to finance the cost of acquisition, construction and installation of an addition of approximately 4 8 million barrels of additional storage capacity comprised of approximately twenty-four (24) tanks ranging in capacity from 90,000 to 363,000 shell barrels; and new tank lines, pumps and manifolds for new tanks located at the NuStar St. Xxxxx Terminal on the west bank of the Mississippi River at mile marker 159.9 in the Parish of St. Xxxxx, State of Louisiana (the “Project”). The Issuer will lease the Project to NuStar Logistics, L.P.(the “Company”), pursuant to a Lease Agreement dated as of December 1, 2010 (the “Agreement”), between the Issuer and the Company. The Company has agreed in the Agreement to make rental payments to the Issuer in amounts sufficient to pay all amounts coming due on the Bonds, and the Issuer has assigned its rights to such payments under the Agreement to the Trustee as security for the Bonds. The Indenture and the Agreement may be amended, and references to them include any amendments. The Issuer has established a Book-Entry system of registration for this Bond. Except as specifically provided otherwise in the Indenture, CEDE & co., as nominee of The Depository Trust Company, a New York corporation (“DTC”), will be the registered owner and will hold this Bond on behalf of each Beneficial Owner hereof. By acceptance of a confirmation of purchase, delivery or transfer, each Beneficial Owner of this Bond shall be deemed to have agreed to such arrangement. CEDE & co., as registered owner of this Bond, may be treated as the owner of it for all purposes.
