Common use of Independent Contractor; Fiduciary Role Clause in Contracts

Independent Contractor; Fiduciary Role. The Design-Builder represents that it is an independent contractor, competent, knowledgeable, and familiar with the type of work contemplated by this Contract. The Design-Builder agrees and understands that neither it nor any of its agents or employees may act in the name of the Owner except and unless specifically authorized in writing by the Owner to do so. The Design-Builder further represents that it accepts a fiduciary role and responsibility with respect to the Owner and that it owes the Owner the duties of good faith, trust, confidence, and candor, and that it must exercise a high standard of care in managing money and property. The Design-Builder will, to its best abilities, act in the best interests of the Owner and the timely completion of the Work. The Design-Builder shall furnish project management, design, construction administration and construction services and use the Design-Builder's best efforts to perform the Project in an expeditious and economical manner consistent with the interests of the Owner.
