The Distributor agrees to register any officers or employees of the Fund's investment manager who engage in sales activities on behalf of the Fund as agents of the Distributor hereunder as may be performed by one or more of the Distributor’s affiliates or designeesrequired under applicable securities laws.

Independent Contractor. The Distributor shall be an independent contractor. Neither Distributor contractor and neither the Distributor, nor any of its officers, directors, employees employees, or representatives is or shall be an employee of a Fund XXX in connection with the performance of the Distributor’s duties hereunder. The Distributor shall be responsible for its own conduct and the employment, control, compensation and conduct of its agents and employees, employees and for any injury to such agents or employees or to others through its agents and employees and agrees to pay or to insure that persons other than XXX will pay all employee taxes due with respect to the activities of its agents and employees. Any obligations of Distributor hereunder may be performed by one or more of the Distributor’s affiliates or designees.
