Independent Facility Sample Clauses

Independent Facility. That to the best of Seller's Knowledge, the Real Property does not rely on any drainage, sewer, access, utility or other facilities (other than the facilities of public utility and public water companies located in public streets which are adjacent to such Building) to fulfill any zoning, building code or other Governmental Requirement, and that no other property relies on any part of the Real Property to fulfill any zoning, building code or other Governmental Requirement.
Independent Facility. That the Real Property does not -------------------- rely on any drainage, sewer, access, utility or other facilities (other than the facilities of public utility and public water companies located in public streets which are adjacent to such Building) to fulfill any zoning, building code or other Governmental Requirement, and that no other property relies on any part of the Real Property to fulfill any zoning, building code or other Governmental Requirement.
Independent Facility. In performance of the services discussed herein, Hospice and Facility shall each be, and at all times are, acting and performing as an independent facility, and not as a partner, a co-venturer, an employee, an agent or a representative of the other. No employee or agent of one party to this Agreement shall be considered an employee or agent of the other party. The parties mutually agree to indemnify and hold harmless the other from all third-party claims, demands and liabilities, including costs and attorneys’ fees, to which the other may be subjected to by reason of their respective failure to pay any employment taxes, penalties and interest. Additionally, neither entities employees, contractors, and/or agents are eligible for, or entitled to participate in the other party’s health and other benefit plans.
Independent Facility. The Facilities are each an independent stand alone facility that does not rely on offsite services (other than for public utilities, sewer and water companies) (i) to fulfill any zoning, building code or other municipal or governmental requirement, (ii) for structural support or the furnishing of any essential building systems or utilities, including, but not limited to, electric, plumbing, mechanical, heating, ventilating and air conditioning systems, (iii) for any computer switches, servers or networks or any telephones and telephone systems or (iv) for the furnishing of any essential building systems or utilities.
Independent Facility. TO SELLER'S KNOWLEDGE, the Property is, and when completed in accordance with the Plans the Project will be, an independent unit which does not rely on any drainage, sewer, access, utility or other facilities (other than the facilities of public utility or other facilities located in public streets which are adjacent to the Property) located on any property not included in the Property (i) to fulfill any zoning, building code or other municipal or governmental requirements, (ii) for structural support or the furnishing to the improvements thereon of any essential building systems or utilities, including, but not limited to, electrical, plumbing, mechanical and heating, ventilating and air conditioning, water and sanitary sewage systems, (iii) to fulfill the requirements of any of the Leases or other agreement affecting the Property or the Project. No land, building or other improvement not included in any part of the Property relies on any part of the Property to fulfill any zoning, building code or other governmental or municipal requirement or for structural support or the furnishing to such building or improvement of any essential building systems or utilities, except as disclosed in the title report.
Independent Facility. The Real Property is an independent unit which currently does not and as of the Closing Date will not rely on any other facilities, other than public utilities, to fulfill any zoning, building code or other municipal or governmental requirement. Conversely, no other facility relies on any part of the Real Property to fulfill any zoning, building code or other municipal or governmental requirement. The Real Property is assessed by local property assessors as a tax parcel or parcels separate from all other tax parcels.

  • Facility Prudential is willing to consider, in its sole discretion and within limits which may be authorized for purchase by Prudential Affiliates from time to time, the purchase of Shelf Notes pursuant to this Agreement. The willingness of Prudential to consider such purchase of Shelf Notes is herein called the “Facility”. At any time, the aggregate principal amount of Shelf Notes stated in Section 1.2, minus the aggregate principal amount of Shelf Notes purchased and sold pursuant to this Agreement prior to such time, minus the aggregate principal amount of Accepted Notes (as hereinafter defined) which have not yet been purchased and sold hereunder prior to such time, is herein called the “Available Facility Amount” at such time. NOTWITHSTANDING THE WILLINGNESS OF PRUDENTIAL TO CONSIDER PURCHASES OF SHELF NOTES BY PRUDENTIAL AFFILIATES, THIS AGREEMENT IS ENTERED INTO ON THE EXPRESS UNDERSTANDING THAT NEITHER PRUDENTIAL NOR ANY PRUDENTIAL AFFILIATE SHALL BE OBLIGATED TO MAKE OR ACCEPT OFFERS TO PURCHASE SHELF NOTES, OR TO QUOTE RATES, SPREADS OR OTHER TERMS WITH RESPECT TO SPECIFIC PURCHASES OF SHELF NOTES, AND THE FACILITY SHALL IN NO WAY BE CONSTRUED AS A COMMITMENT BY PRUDENTIAL OR ANY PRUDENTIAL AFFILIATE.

  • Alternate Facilities If under Purchaser’s Operating Schedule, roads needed for the removal of Included Timber differ substantially from Specified Roads, other roads may be added to A7. Contracting Officer shall assure that road routing, location, design, and needed easements will make such other roads acceptable as parts of the National Forest transportation facilities. Purchaser shall provide survey, design, and construction staking for such other roads.

  • Laundry Facilities Washers and dryers are installed in each apartment for the exclusive use of students in the apartment. Any other use is prohibited. The use of washers and dryers are free. LINEN: Brighton provides a mattress cover on all mattresses. Students need to bring their own bedding. All beds are regular twin size. The typical cost for replacing a mattress cover is $25.00. MAINTENANCE: Students are responsible to notify the manager in writing as soon as possible if they notice anything in an apartment that requires repair work or maintenance. See “Property Conditions” section 12 of the BYU-Idaho Student Landlord Housing Contract.

  • Existing Facilities Each of the Existing Facilities shall be repaid in full and terminated and all collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

  • Banking Facilities Section 3.6(f) of the Company Disclosure Schedule sets forth an accurate and complete list of (i) each bank, savings and loan or similar financial institution with which the Company has an account or safety deposit box or other similar arrangement, and any numbers or other identifying codes of such accounts, safety deposit boxes or such other arrangements maintained by the Company thereat, and (ii) the names of all Persons authorized to draw on any such account or to have access to any such safety deposit box facility or such other arrangement.
