Existing Facilities. Each of the Existing Facilities shall be repaid in full and terminated and all collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.
Existing Facilities. The Global Administrative Agent shall have received a certificate, signed by an Authorized Officer of the Borrower, stating that TBRL or the Parent have repaid in full and terminated the Existing Credit Facilities contemporaneously with the initial Combined Loans under the Combined Credit Agreements. The Global Administrative Agent shall have received evidence satisfactory to it that all Liens associated with the Existing Credit Facilities have been released or terminated contemporaneously with the making of such payments and that arrangements satisfactory to the Global Administrative Agent have been made for recording and filing such releases.

Existing Facilities. In all cases, and in addition to all other obligations set forth herein with regard to existing facilities, Design-Builder shall schedule, plan, and coordinate the Services and the Work indicated in the Contract Documents so as to not interfere with operation and safety of existing facilities and other construction projects in or near the Project. 4. [ ] The Work does not primarily involve construction or modification of a building, but does involve site improvements or installation of discrete systems or equipment;

Existing Facilities. The Australian Administrative Agent and the Global Administrative Agent shall have received a certificate, signed by an Authorized Officer of Parent and Borrower, stating that either (i) Parent or its Subsidiaries have repaid in full and terminated the Existing Credit Facilities concurrently with the effectiveness of the Combined Credit Agreements or (ii) the Existing Credit Facilities have been terminated in full prior to the effectiveness of the Combined Credit Agreements.
Existing Facilities. For purposes of this subparagraph, the term ‘‘existing facilities’’ means facilities that have been in operation for at least 2 years before the date on which the new en- vironmental requirements are imposed. TITLE 19—CUSTOMS DUTIES
Existing Facilities. SURVEYS The Design Professional shall review existing drawings, specifications, surveys, reports and other documents available from the Owner. Where non- destructive field inspections and measurements of existing conditions are needed, make such reasonable inspections and measurements as necessary to become familiar with the existing condition of the building and the Project site and to furnish appropriate and complete design recommendations. When identified in Exhibit F, the Design Professional shall evaluate functionality, size, capacity and life expectancy of systems and equipment; verify configuration of existing spaces; field measure critical dimensions; verify the type and condition of architectural, mechanical, electrical and other systems; assess the size and capacity of existing equipment and systems based on Owner-provided information and the Design Professional’s inspection; prepare and submit appropriate deliverables documenting the Design Professional’s conclusions and recommendations as to the building’s capabilities, limitations and deficiencies based on the identified program requirements.
Existing Facilities. The Charter School shall have the following locations: 0000 Xxxxxx Xxxx, Xxxxxxxx, Xxxxxxxx and 0000 Xxxxxx Xxxx, Xxxxxxxx, Xxxxxxxx, which locations will serve grade K through grade 8; The Charter School shall have obtained and submitted to the Board for review no later than 45 days prior to the commencement of operation of any Attendance Center: (1) all applicable occupancy permits and health and safety approvals for such Attendance Center; (2) an executed copy of the lease agreement for such Attendance Center, if occupied under a lease agreement; and (3) evidence of title to such Attendance Center, if owned by the Charter School. The Charter School shall take such actions as are necessary to ensure that all leases, occupancy permits and health and safety approvals for all established Attendance Centers remain valid and in force, and shall certify to the Board by August 1 of the first year of operations and thereafter no earlier than June 1 and no later than July 1 of each subsequent year during the term of this Agreement that such leases, certificates and approvals remain in force.
