Information about the Borrower. The Borrower is a company incorporated under the laws of the British Virgin Islands and a wholly-owned subsidiary of Yota. It is principally engaged in the licensing of intellectual property rights for use in developing any connectivity devices and ancillary products. To the best of the Directors’ knowledge, information and belief having made all reasonable enquiries, save for the fact that the Borrower is a wholly-owned subsidiary of Yota, which is an associated company of the Company, the Borrower and its ultimate beneficial owner are independent third parties and not connected with the Company or connected persons of the Company.
Information about the Borrower. 11.1 As long as the borrower is indebted in any way to the lender, the borrower shall furnish the lender with all audited financial statements of the borrower and/or with such other management accounts or information in respect of the borrower as may be required by the lender from time to time.

  • Financial Information Certifications The Parties agree to cooperate with each other in such manner as is necessary to enable the principal executive officer or officers, principal financial officer or officers and controller or controllers of each of the Parties to make the certifications required of them under Sections 302, 404 and 906 of the Xxxxxxxx-Xxxxx Act of 2002.

  • Additional Financial Information (a) In addition to all other information required to be provided pursuant to this Article 6, the Borrower promptly shall provide the Agent (and any guarantor of the Liabilities), with such other and additional information concerning the Borrower, the Collateral, the operation of the Borrower’s business, and the Borrower’s financial condition, including original counterparts of financial reports and statements, as the Agent may from time to time reasonably request from the Borrower.

  • Confidential Financial Information The Parties shall treat all financial information subject to review under this Article VI or under any sublicense agreement as Confidential Information of such Party as set forth in Article VII, and shall cause its accounting firm to retain all such financial information in confidence under terms substantially similar to those set forth in Article VII and with respect to each inspection, the independent accounting firm shall be obliged to execute for each Party’s benefit a reasonable confidentiality agreement prior to commencing any such inspection.

  • Disclosure of Financial Information 26.1 The Customer represents and warrants that the financial information disclosed to us in his/its Application is an accurate representation of the Customer’s current financial condition.
