Initial Issuance of Warrants. On the Tranche B Closing Date subject to receipt by the Company of a Certificate from the Initial Holder, substantially in the form of Exhibit C hereto, the Company shall execute and deliver to the Initial Holder a Warrant Certificate representing 250,000 Warrants registered in the name of the Initial Holder. Such Warrant Certificate shall be issued by its terms contemporaneous with, and as a condition to, the funding by the Initial Holder of the Tranche B Loan on the Tranche B Funding Date.

The Company was at the time of the filing of the Registration Statement eligible to use Form F-3. The Company is eligible to use Form F-3 under the Securities Act and it meets the transaction requirements as set forth in General Instruction I.B.1 of Form F-3.
