Tranche B Funding Date definition

Tranche B Funding Date means, with respect to the Tranche B Loan, the date on which the Lender makes the Tranche B Loan pursuant to the Notice of Tranche B Borrowing received from the Borrower pursuant to Section 2.02(b).

Tranche B Funding Date means the date on or prior to the expiration of the Tranche B Availability Period on which all conditions precedent set forth in Section 6.02 for the borrowing of Tranche B Term Loans are satisfied or waived in accordance with the terms of this Agreement.

• The Administrative Agent shall have received a solvency certificate, substantially in the form of Exhibit K, duly executed and delivered by the chief financial officer of the Borrower, dated as of the Tranche B Funding Date, in form and substance reasonably satisfactory to the Administrative Agent.

• The Administrative Agent shall have received a Note to the extent requested by any Lender pursuant to Section 2.04 for the Tranche B Term Loans made on the Tranche B Funding Date duly executed and delivered by a Responsible Officer of the Borrower.
