Injunction and Attorneys' Fees. In view of the irreparable injury to the Company that would result from a breach or threatened breach of Employee of the covenants or agreements under Sections 7 (a) or (b) hereof, and because there is not an adequate remedy at law to protect the Company from the ongoing breach of those covenants, the Employee acknowledges that a permanent injunction is an appropriate remedy for such a breach or threatened breach. These remedies shall be in addition to and not in limitation of any other rights or remedies to which the Company is or may be entitled at law or in equity under this Agreement. With respect to any such litigation, the provisions of Section 9(m) hereof shall apply, regardless of whether this Agreement had earlier expired or been terminated.

In view of the irreparable harm and ------------------------------ damage which would occur to Unique and the Partnership as a result of a breach or a threatened breach of the covenants or agreements under Section 10.01 hereof, and in view of the lack of an adequate remedy at law to protect the Partnership and Unique, the Partnership and Unique shall have the right to receive, and Xxxxxx hereby consents to the issuance of, a permanent injunction enjoining Xxxxxx from any violation of the covenants set forth in Section 10.01. Xxxxxx acknowledges that a permanent injunction is an appropriate remedy for such a breach or threatened breach. The foregoing remedy shall be in addition to and not in limitation of any other rights or remedies to which the Partnership or Unique is or may be entitled at law or in equity. Xxxxxx further agrees that in the event the Partnership or Unique incurs any fees or costs in order to enforce the provisions of Section 10.01 hereof, Xxxxxx against whom enforcement of said provisions is sought shall pay all fees and costs so incurred by the Partnership or Unique, including, but not limited to, attorneys' and paralegals' fees.

The Covenantors acknowledge that a permanent injunction is an appropriate remedy for such a breach or threatened breach. These remedies shall be in addition to and not in limitation of any other rights or remedies to which the Acquiror is or may be entitled at law or in equity under this Agreement. The Covenantors further agree that in the event the Acquiror incurs any fees or costs in order to enforce the provisions of Section 12.1 hereof and the Acquiror prevails in such enforcement, the Covenantors shall pay all fees and costs so incurred by the Acquiror, including, but not limited to, reasonable attorneys' and paralegals' fees.

These remedies shall be in addition to and not in limitation of any other rights or remedies to which Xxxxxx is or may be entitled at law or in equity under this Agreement. The Covenantor further agrees that in the event Xxxxxx incurs any fees or costs in order to enforce the provisions of Section 11.1 hereof and Xxxxxx prevails in such enforcement, the Covenantor shall pay all fees and costs so incurred by Xxxxxx including, but not limited to, reasonable attorneys' and paralegals' fees.

These remedies shall be in addition to and not in limitation of any other rights or remedies to which the Company is or may be entitled at law or in equity under this Agreement. Executive further agrees that in the event the Company incurs any fees or costs in order to enforce the provisions of Sections 7 (a) and (b) hereof and the Company prevails in such enforcement, Executive shall pay all fees and costs so incurred by the Company, including, but not limited to, reasonable attorneys' and paralegals' fees at all trial and appellate levels.
Injunction and Attorneys' Fees. Any breach by a party of this covenant of confidentiality shall be a material breach of this Settlement Agreement, entitling the other parties at their option to obtain an injunction and to take action in any court of competent jurisdiction to recover reasonable attorney’s fees and costs incurred in any attempt to enforce this covenant of confidentiality and to recover damages, including any sums paid or forgiven pursuant to this Settlement Agreement. The parties stipulate that such a breach would cause irreparable harm for which no adequate remedy at law exists.

Due to the unique and proprietary nature of the training and information provided to MHP by PPG, it is acknowledged that any breach of MHP’s obligations hereunder, and that any such breach or any unauthorized use or release of any Proprietary Information will allow MHP or third parties to unfairly compete with PPG, resulting in irreparable harm to PPG. Therefore, upon MHP’s violation of this Agreement in any way, PPG shall be entitled to preliminary injunctive relief and/or an equitable accounting of earnings and profits (where profits are calculated as lost revenues due to the MHP’s breach arising from such violation, which rights shall be cumulative and in addition to any other remedies to which PPG may be entitled. Any right or power may be exercised from time to time and as often as may be deemed necessary and/or expedient. MHP further agrees that PPG will be entitled to an injunction without proving actual damages and without posting a bond or other security. PPG shall also be entitled to recover from the MHP the reasonable attorneys’ fees incurred by PPG in enforcing the provisions of this Agreement together with any loss associated with the unauthorized activity.
