Inspection and Acceptance of the Products. 5.2.1 The Buyer must inspect the Products upon delivery. The Buyer is deemed to have accepted the Products, unless written notice of rejection, specifying the reasons for the rejection, is given to the Seller within ten (10) Business Days after delivery of the Products. The Buyer cannot raise any claim in respect of any visible damage or defect which is or could have been detected during such inspection and which has not been notified to the Seller before the aforementioned deadline.

Inspection and Acceptance of the Products. DKSH shall identify visible damage (in the shipment carton), shortage or discrepancy (including insufficient shelf life) within seven (7) Business Days from receipt of the Products. In case of any latent or hidden damage, defect, shortage or discrepancy, not visible upon inspection, DKSH shall notify CMS within seven (7) Business Days from knowledge or discovery. If DKSH fails to issue such notifications within the aforesaid period, the Products received by DKSH shall be deemed to conform to the Order and quality requirements of the Products. Upon notification, CMS shall replace the defective Products, and the costs or expenses directly incurred by DKSH in the replacement or return of CMS’s Products shall be for the account of CMS. In respect of any such defect, CMS’s sole liability (to the exclusion of any other warranty, express or implied, loss of profit and incidental damage) shall be to provide replacement as provided for in this Article. If the Parties disagree on whether the Product(s) are defective products, the Parties shall attempt to resolve such disagreement in a timely manner by jointly nominating an independent and reputable laboratory which shall carry out such analyses with respect to the allegedly defective Product. The results obtained by the laboratory shall be binding upon the Parties and all expenses related to such third party investigation shall be borne by the Party found to have been mistaken as to compliance or non-compliance of the relevant Product(s).
Inspection and Acceptance of the Products. The Products will be inspected, accepted, or rejected in accordance with the Work Order. All Product warranties will survive any delivery, inspection, acceptance, payment, or subsequent use or authorized repair, in each case, for the duration of the warranty period for such Product.

We provide trial licenses of the Software for testing and pre-acceptance before purchase and therefore, delivery is deemed complete and accepted when such Software is made available to you.   • Maintenance of and Access to Records The Servicer will maintain each Receivable File in the United States (it being understood that the Receivable Files, or any part thereof, may be maintained at the offices of any Person to whom the Servicer has delegated responsibilities in accordance with Section 6.5). The Servicer will make available to the Issuer and the Indenture Trustee or their duly authorized representatives, attorneys or auditors a list of locations of the Receivable Files upon request. The Servicer will provide access to the Receivable Files, and the related accounts records, and computer systems maintained by the Servicer at such times as the Issuer or the Indenture Trustee direct, but only upon reasonable notice and during the normal business hours at the respective offices of the Servicer.
