Common use of Inspection, Consultation and Advice Clause in Contracts

Inspection, Consultation and Advice. The Company shall permit and cause each of its subsidiaries, if any, to permit each Investor and such persons as each Investor may designate, at such Investor’s expense, to visit and inspect any of the properties of the Company and its subsidiaries, examine their books and take copies and extracts therefrom, discuss the affairs, finances and accounts of the Company and its subsidiaries with their officers, employees and public accountants (and the Company hereby authorizes said accountants to discuss with such Investor and such designees such affairs, finances and accounts), and consult with and advise the management of the Company and its subsidiaries as to their affairs, finances and accounts, all at reasonable times and upon reasonable notice during normal business hours and provided that such Investor or designee has executed a confidentiality agreement in substance and form reasonably acceptable to the Company.

Inspection, Consultation and Advice. The Company shall permit and cause each of its subsidiaries, if any, to permit each the Investor and such persons as each the Investor may designate, at such the Investor’s expense, upon reasonable notice and at such times as the Investor may reasonably request to visit and inspect any of the properties of the Company and its subsidiariesCompany, examine their its books and records (including without limitation product complaint histories and related information) and take copies and extracts therefrom, discuss the affairsaffairs (including, without limitation, operations and relations with suppliers), finances and accounts of the Company and with its subsidiaries with their officers, employees and public accountants (and the Company hereby authorizes said accountants to discuss with such the Investor and any such designees such affairs, finances and accounts), and consult with and advise the management of the Company and its subsidiaries as to their such affairs, finances and accountsaccounts of the Company and its subsidiaries, all at reasonable times and upon reasonable notice during normal business hours and provided that such Investor or designee has executed a confidentiality agreement in substance and form reasonably acceptable to the Companynotice.

The Company shall permit and cause each of its subsidiaries, subsidiaries (if any, ) to permit each Investor Major Preferred Holder and such persons as each Investor it may reasonably designate, at such InvestorMajor Preferred Holder’s expense, to visit and inspect any of the properties of the Company and its subsidiaries, examine their books and take copies and extracts therefrom, discuss the affairs, finances and accounts of the Company and its subsidiaries with their officers, employees and public accountants (and the Company hereby authorizes said accountants to discuss with such Investor Major Preferred Holder and such designees such affairs, finances and accounts), and consult with and advise the management of the Company and its subsidiaries as to their affairs, finances and accounts, all at reasonable times and upon reasonable notice during normal business hours and provided that such Investor or designee has executed a confidentiality agreement in substance and form reasonably acceptable to the Companynotice.

The Company shall permit and cause each of its subsidiaries, if any, the subsidiaries to permit each the Investor and such persons attorneys and/or accountants as each Investor it may designate, at such Investor’s 's expense, to visit and inspect during business hours any of the properties of the Company and its the subsidiaries, examine their books and take copies and extracts therefrom, discuss the affairs, finances finances, and accounts of the Company and its the subsidiaries with their officers, employees employees, and public accountants (and the Company hereby authorizes said accountants to discuss with such Investor and such designees such affairs, finances finances, and accounts), and consult with and advise the management of the Company and its the subsidiaries as to their affairs, finances finances, and accounts, all at reasonable times and upon reasonable notice during normal business hours notice; provided, however, that nothing in this Section shall be construed to require the Company or its management to follow any such consultation and provided that such Investor or designee has executed a confidentiality agreement in substance and form reasonably acceptable to the Company.advice

The Company shall permit and cause each of its subsidiaries, subsidiaries (if any, ) to permit each Investor Purchaser holding 750,000 Preferred Shares and/or Conversion Shares and such persons as each Investor it may designate, at such InvestorPurchaser’s expense, to visit and inspect any of the properties of the Company and its subsidiaries, examine their books and take copies and extracts therefrom, discuss the affairs, finances and accounts of the Company and its subsidiaries with their officers, employees and public accountants (and the Company hereby authorizes said accountants to discuss with such Investor Purchaser and such designees such affairs, finances and accounts), and consult with and advise the management of the Company and its subsidiaries as to their affairs, finances and accounts, all at reasonable times and upon reasonable notice during normal business hours and provided that such Investor or designee has executed a confidentiality agreement in substance and form reasonably acceptable to the Companyupon reasonable notice.
