Common use of Inspection Procedures Clause in Contracts

Inspection Procedures. 7.1.1 All work to be carried out on the Aircraft and all materials and parts thereof will at all reasonable times during business hours be open to inspection by duly authorized representatives of the Buyer or its designee at the respective works of the Associated Contractors and, if possible, at the works of their respective subcontractors, and such representatives will, to carry out the aforesaid inspection, have access to such relevant technical data as is reasonably necessary for this purpose (except that, if access to any part of the respective works where construction is in progress or materials or parts are stored is restricted for security reasons, the Associated Contractors will be allowed a reasonable time to make the items available for inspection elsewhere). The actual detailed inspection of the Aircraft, materials and parts thereof will take place only in the presence of the respective inspection department personnel of the Associated Contractors or their subcontractors. The procedures for such inspections will be agreed upon with the Buyer prior to any inspection, based on modifications to the Manufacturer's Quality Instruction document. 7.1.2 For the purposes of Subclause 7.1.1 above and commencing with the date of this Agreement until the delivery of the last Aircraft, the Seller will furnish free-of-charge adequate secretarial assistance and suitable, private and secure (with access limited and controlled by the Buyer in its sole discretion) space, office equipment, telecommunications (including telephone and facsimile lines and equipment for professional use only) and facilities in or conveniently located with respect to Aerospatiale's works in Toulouse, France, for the use of not more than six (6) (or more if reasonably necessary) representatives of the Buyer during the aforementioned period. 7.1.3 All inspections, examinations and discussions with the Seller's, the Associated Contractors' or their respective subcontractors' engineering or other personnel by the Buyer and its said representatives will be performed in such manner as not to unreasonably delay or hinder the work to be carried out on the Aircraft or the proper performance of this Agreement. In no event will the Buyer or its representatives be permitted to inspect any aircraft other than the Aircraft. The Seller will not permit, and will cause the Manufacturer not to permit, any representatives, employees, agents or personnel of any other airline or customer to inspect, or to have access to, the Aircraft or any designs or specifications relating thereto.

The actual detailed inspection of the Aircraft, materials and parts thereof will take place only in the presence of the respective inspection department personnel of the Associated Contractors Manufacturer or their its subcontractors. The procedures for such inspections will be agreed upon with the Buyer prior to any inspection, based on modifications inspection but shall be conducted pursuant to the Manufacturer's Quality Instruction documentSeller´s own system of inspection as developed under the supervision of the relevant Aviation Authority. 7.1.2 For the purposes of Subclause sub-Clause 7.1.1 above and commencing with the date of this Agreement until the delivery Delivery of the last Aircraft, the Seller will furnish free-of-charge adequate secretarial assistance and suitable, private and secure (with access limited and controlled by the Buyer in its sole discretion) suitable office space, office equipment, telecommunications (including telephone and facsimile lines and equipment for professional use only) and facilities in or conveniently located with respect to Aerospatiale's the Manufacturer’s works in Toulouse, France, or the Manufacturer’s works in Hamburg, Germany, as the case may be, for the use of not more than six than, in aggregate, four (6) (or more if reasonably necessary4) representatives of the Buyer during the aforementioned periodperiod at each facility. 7.1.3 All inspections, examinations and discussions with the Seller's, the Associated Contractors' Manufacturer‘s or their respective subcontractors' engineering or other personnel by the Buyer and its said representatives will be performed in such manner as not to unreasonably delay or hinder the work to be carried out on the Aircraft or the proper performance of this Agreement. In no event will the Buyer or its representatives be permitted to inspect any aircraft other than the Aircraft. These representatives will, to carry out the aforesaid inspection, will have access to such relevant technical data as is are reasonably necessary for this purpose (except that, if access to any part of the respective works where construction is in progress or materials or parts are stored is restricted for security reasons, the Manufacturer or Associated Contractors will be allowed a reasonable time to make the items available for inspection elsewhere). The actual detailed inspection of the Aircraft, materials and parts thereof will take place only in the presence of the respective inspection department personnel of the Manufacturer or Associated Contractors or their subcontractors. The Parties will cooperate to ensure the reasonable availability of the respective inspection department personnel of the Manufacturer or Associated Contractors or their subcontractors and [***] on procedures for such inspections will be agreed upon with the Buyer prior to any inspection, based on modifications to the Manufacturer's Quality Instruction documentinspections. 7.1.2 For the purposes of Subclause 7.1.1 above and commencing with the date of this Agreement until the delivery of the last Aircraft, the Seller will furnish free-of-charge adequate secretarial assistance and suitable, private and secure (with access limited and controlled by the Buyer in its sole discretion) space, office equipment, telecommunications (including telephone and facsimile lines and equipment for professional use only) and facilities in or conveniently located with respect to Aerospatiale's works in Toulouse, France, for the use of not more than six (6) (or more if reasonably necessary) representatives of the Buyer during the aforementioned period. 7.1.3 6.1.2 All inspections, examinations and discussions with the Manufacturer’s, Seller's’s, the Associated Contractors' ’ or their respective subcontractors' ’ engineering or other personnel by the Buyer and its said representatives will be performed in such a manner as not to unreasonably delay or hinder either the work to be carried out on the Aircraft or the proper performance of this Agreement. In no event will the Buyer or its representatives be permitted to inspect any aircraft other than the AircraftAircraft [***]. The Seller will not permitpermit anyone other than the Buyer, its representatives, and will cause concerned governmental agencies to inspect the Manufacturer Aircraft without the Buyer’s prior consent, such consent not to permitbe unreasonably withheld. 6.1.3 If, any representatives, employees, agents or personnel as a result of any other airline inspection or customer examination of an Aircraft conducted by the Buyer pursuant to inspectthis Clause 6, or to have access to, the Aircraft or any designs or specifications relating thereto[***]).

The procedures for such inspections will shall be agreed upon with the Buyer between AVSA's and Northwest's representatives prior to any inspection, based on modifications to the Manufacturer's Quality Instruction document. 7.1.2 For the purposes of Subclause 7.1.1 above and commencing with the date of this Agreement until the delivery of the last Aircraft, the Seller will AVSA shall furnish free-of-charge adequate secretarial assistance and suitable, private and secure (with access limited and controlled by the Buyer in its sole discretion) suitable space, office equipment, telecommunications (including telephone and facsimile lines and equipment for professional use only) and facilities in or conveniently located with respect to Aerospatiale's works in Toulouse, France, for the use of not more than six four (6) (or more if reasonably necessary4) representatives of the Buyer Northwest during the aforementioned periodperiod(CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO A REQUEST FOR CONFIDENTIAL TREATMENT). 7.1.3 All inspections, examinations and discussions with the SellerAVSA's, the Associated Contractors' or their respective subcontractors' engineering or other personnel by the Buyer Northwest and its said representatives will shall be performed in such manner as not to unreasonably delay or hinder the work to be carried out on the Aircraft or the proper performance of this Agreement. In no event will the Buyer shall Northwest or its representatives be permitted to inspect any aircraft other than the Aircraft. The Seller will not permit, and will cause the Manufacturer not to permit, any representatives, employees, agents or personnel of any other airline or customer to inspect, or to have access to, the Aircraft or any designs or specifications relating thereto.
