Integrated Storm Water Management Plan. Buyer and Buyer’s Consultants shall use commercially reasonable efforts to meet storm water treatment requirements, based on Buyer’s proposed development of the Property, within the boundaries of the Property. If Buyer and Buyer’s Consultants determine that a storm water treatment facility will be required to be located on Seller’s Property in order to accommodate Buyer’s proposed development of the Property, Buyer and Seller shall cooperate in the development of an integrated storm water management plan for the Property and Seller’s Property (the “Storm Water Plan”), which Storm Water Plan shall address, without limitation, the development, cost (including permit fees and any required payment to the Durham Storm Water Facility Replacement Fund), use, possible expansion, and permanent maintenance of such storm water treatment facility. At Closing, provided Buyer deems the Storm Water Plan necessary, the Parties shall execute and deliver an easement, in a form reasonably acceptable to Buyer and Seller, which will provide for the Storm Water Plan.
