Common use of Interdependence of Performance of Obligations Clause in Contracts

Interdependence of Performance of Obligations. The Parties acknowledge that each Party’s ability to meet its obligations under this Agreement is dependant upon the other Party meeting its obligations under this Agreement. Accordingly, neither Party shall be in breach of its obligations under this Agreement to the extent that its ability to meet those obligations has been materially adversely impacted by a failure of the other Party to meet its obligations under this Agreement.
