INTERIOR WORKS. 19.1 For carrying out interior/ fitout works, THE LESSEE’s architect shall coordinate with THE LESSOR’s architect for approval of the drawing(s)/plan(s) and sanctions if any required by THE LESSEE. THE LESSEE shall submit all the interior works drawings together as per Annexure T-IX attached herewith. THE LESSOR shall revert back on the drawings/ plans submitted by THE LESSEE within fifteen (15) days of such submission by THE LESSEE and Such approvals shall not be unreasonably withheld by THE LESSOR. However, the Lease Commencement Date and the Rent Commencement Date shall not be deferred for any delay on this account. 19.2 During the period of carrying interior/ fit out works, THE LESSEE shall take all precautions, fire and safety measures and cover its risks and THE LESSOR shall not be liable/ responsible for any loss or damage suffered by THE LESSEE including but not limited to its materials and to third parties. Further, THE LESSEE shall keep THE LESSSOR indemnified and make good any loss or damage suffered by THE LESSOR due to any act of negligence, omission or commission of THE LESSEE, its contractors, agents, employees, workmen of the contractors including but not limited to failure to comply with statutory and regulatory requirements. During such period, THE LESSEE shall be liable to pay electricity, water, power charges and charges for security services at actuals plus 20%. 19.3 THE LESSEE hereby confirms that it shall carry out, implement and execute all interior works/ designs/ alterations in the Demised Premises in compliance/ adherence with the approval/ guidelines issued by THE LESSOR and the concerned authority(ies) from time to time for carrying out such interior works in the Demised Premises and in accordance with the local laws/bye laws and NBC as applicable and a certificate from a reputed consultant to that effect shall be provided to THE LESSOR before starting the interior fit out work. After the completion of the interior/ fit out works, THE LESSEE shall provide to THE LESSOR a certificate from a reputed consultant verifying that the interior/ fit out works have been carried out by THE LESSEE as per the drawings approved by THE LESSOR and in accordance with the local laws/ bye laws and NBC, as applicable, certifying that all safety measures have been taken care of including connection of fire panel with THE LESSOR’s fire panel. THE LESSOR shall have the right to inspect and verify the same either directly or through its nominee/assigns. 19.4 For any interior/ fit out works including any additions/ modifications/ alterations in the Demised Premises in accordance with the National Building Code as applicable, THE LESSEE shall carry out such works without altering/ tampering with the fire fighting and fire detection systems as installed therein. However any additions/ modifications/ alterations to the existing fire fighting and fire detection system shall be done by THE LESSEE only after obtaining prior written approval from THE LESSOR and by providing alternate and stand by fire fighting systems during all such works in the Demised Premises. 19.5 THE LESSEE shall not carry out any work involving structural alterations/ cutting/ chopping/ digging/ hacking/ dismantling in any manner or form/ destroying the floors or walls of the Demised Premises or the Said Building without prior written permission of THE LESSOR. 19.6 THE LESSEE shall be directly liable for any legal or financial consequences arising out of such interior/ fit out works including liability towards any third party and all damages to the Demised Premises/ Said Building or loss of life arising out of such interior/ fit out works shall be the sole responsibility of THE LESSEE. 19.7 THE LESSEE’s responsibilities during interior works as stated above are more detailed in Annexure T-X to this Lease Deed.

19.3 THE LESSEE hereby confirms that it shall carry outdesigns, implement and execute all the interior works/ designs/ alterations works in the Demised Premises Licensed Premises, as and when the Licensor permits in compliance/ compliance and adherence with the approval/ guidelines issued by THE LESSOR and the concerned authority(ies) Licensor from time to time for carrying out such interior works in the Demised Licensed Premises.
(2) The Licensee shall not make any alterations in the load bearing structures to the License Premises and/or effect any change to the plan or elevation and in accordance with shall not enclose the local laws/bye laws and NBC as applicable and a certificate from a reputed consultant to that effect shall be provided to THE LESSOR before starting balconies, if any. The Licensee while carrying on the interior fit out workworks within the License Premises shall not cause any nuisance/annoyance to the occupants of the other occupants in the Building and shall not use common areas, roads, open spaces for dumping materials/debris etc. After The Licensee shall strictly observe the rules, regulations, restrictions that may be generally/specifically imposed/prescribed by the NRANVP.
(3) The License shall have to dump all the debris created from the interior work of the Licensed Premises at area specified by the Licensor. The area specified for dumping shall not be more than 10 km away from the Building.
(4) The Licensee shall not make any additions or alterations or cause damage to any portion of the Building or change the exterior color Scheme and maintain the front elevation and the side and rear elevations of the Building, in the same form as the NRANVP had constructed. The Licensee at any time shall not alter the said elevation in any manner whatsoever.
(5) The Licensee shall keep the walls, floor, roof, drains, pipes and appurtenances and belongings thereto, in good conditions so as to support, shelter and protect the parts of the entire Buildings and shall not do any work which jeopardizes the soundness or safety of the Building or the property or reduce the value thereof or impair any easement and shall not add any structure.
(6) The Licensee shall intimate, in writing, the completion of the interior/ fit out works, THE LESSEE shall provide interior works to THE LESSOR the Licensor along with a certificate from a reputed consultant verifying that the interior/ fit out interior works have been carried out by THE LESSEE the Licensee as per the drawings approved by THE LESSOR and in accordance with the local laws/ bye laws and NBC, as applicable, certifying that all safety measures have been taken care of including connection of fire panel with THE LESSOR’s fire panelLicensor. THE LESSOR The Licensor shall have the option and right to inspect and verify the same either directly or through its nominee/assigns.
19.4 For any interior/ fit out works including any additions/ modifications/ alterations in the Demised Licensed Premises in accordance during office hours with the National Building Code as applicable, THE LESSEE shall carry out such works without altering/ tampering with the fire fighting and fire detection systems as installed therein. 19.3 THE LESSEE hereby confirms that it shall carry outdesigns, implement and execute all interior works/ designs/ alterations in the Demised Premises in compliance/ adherence with the approval/ guidelines issued by THE LESSOR and the concerned authority(ies) from time to time for carrying out such interior works in the Demised Premises Unit during the normal working hours on all working days, i.e. between 9 AM to 6 PM upon execution of a suitable indemnity bond, if any, as may be required by the Seller at its sole discretion.
b) The Purchaser is required to inform / intimate about interior works requirements to the concerned person of the seller and submit interior design drawing works for the Seller‟s approval.
c) The Seller shall not be liable for any loss or damages arising in accordance with relation to carrying out interior works. The Purchaser shall obtain all necessary approvals and licences (if any) from the local lawsrelevant authorities in relation to interior fit-outs. “Before commencing fitting-out/bye laws and NBC as applicable and interior works, the Purchaser shall effect a certificate comprehensive all risks insurance policy covering the period from a reputed consultant to that effect shall be provided to THE LESSOR before starting the date of commencement of the interior fit works/fitting-out work. After period to the date of the completion of the interior/ fit same for adequate amounts and with reputed insurers.
d) The Purchaser shall ensure complete safety of the materials and the equipment kept in the Unit, to be used for the interior works undertaken by the Purchaser. The Seller shall not be responsible or liable in case of theft, pilferage or misplacement of such materials or equipment. Further, the Seller shall not be liable, whether directly or indirectly, for any accident or injury caused or occasioned to any person including the employee or the xxxxxxx engaged by the Purchaser in relation to carrying out worksthe interior works in the Unit or any job or work relating thereto. Such liabilities or claims, THE LESSEE if any shall provide be satisfied by the Purchaser itself directly. The Purchaser shall indemnify and keep harmless the Seller against all such claims or liabilities.
e) The Purchaser shall not make any structural additions or alterations in the Unit and/or effect any change to THE LESSOR a certificate from a reputed consultant verifying that the interior/ fit out plan or elevation and shall not enclose the balconies, if any. The Purchaser while carrying on the interior works have been within the Unit shall not cause any obstruction/nuisance/annoyance to the occupants of the other units in the building and shall not use common areas, roads, open spaces for dumping materials/debris etc. Further, the interior work undertaken by the Purchaser should not obstruct or affect the construction work, if any, of the Seller or interior work being carried out by THE LESSEE as per other purchasers of units in the drawings approved Project/complex. Furthermore, the Purchaser shall ensure that internal air- conditioning, electrical systems, plumbing, fire-fighting system and any other structural/finishing work done internally within the Unit shall not pose any fire, electrical, structural, pollution and health hazard to other occupants of the Project/Complex.
a) The Purchaser shall strictly observe the rules, regulations, directions, restrictions that may be generally/specifically imposed/prescribed by THE LESSOR and in accordance with the local laws/ bye laws and NBC, as applicable, certifying that all safety measures have been taken care of including connection of fire panel with THE LESSOR’s fire panel. c) The Purchaser shall not make any additions or alterations or cause damage to inspect any portion of the building (including common areas or equipment therein and verify all building materials attached to it) or change the exterior colour Scheme, and maintain the front elevation and the side and rear elevations of the building, in the same either directly or through its nominee/assigns.
19.4 For form as the Seller had constructed. The Purchaser at any interior/ fit out works including any additions/ modifications/ alterations in the Demised Premises in accordance with the National Building Code as applicable, THE LESSEE shall carry out such works without altering/ tampering with the fire fighting and fire detection systems as installed therein. However any additions/ modifications/ alterations to the existing fire fighting and fire detection system shall be done by THE LESSEE only after obtaining prior written approval from THE LESSOR and by providing alternate and stand by fire fighting systems during all such works in the Demised Premises.
19.5 THE LESSEE time shall not carry out any work involving structural alterations/ cutting/ chopping/ digging/ hacking/ dismantling alter the said elevation in any manner or form/ destroying whatsoever.
d) The Purchaser shall keep the floors or walls walls, floor, roof, drains, pipes and appurtenances and belongings thereto, in good order and conditions so as to support, shelter and protect the parts of the Demised Premises entire buildings and shall not do any work which jeopardizes the soundness, safety or security of the building or the Said Building without prior written permission of THE LESSORproperty or reduce the value thereof or impair any easement and shall not add any structure.

Lessor warrants and covenants to Lessee that Lessee's construction contractor for the MHE, and its subcontractors for such work (the "MHE work"), shall have reasonable access to the Land and Building, during the construction of the Building and beginning no later than the Agreed Start Date, to enable the MHE construction contractor and its subcontractors to complete required MHE work according to Lessee's schedule for such work and the construction schedule for the Building, subject, however, to Lessee providing Lessor with Lessee's schedule for the MHE work and any other reasonably necessary information which the Lessor requests from Lessee in respect of such work. Lessor acknowledges that Lessee requires that such work be completed no later than the Completion Commitment Date. In the event Lessee's contractor and/or subcontractors cannot complete the MHE work by such date as a result of Lessor's breach of the foregoing warranty or as a result of Lessor's or its contractors' or subcontractors' negligence or willful misconduct, then a "failure of Actual Completion" shall be deemed to have occurred for purposes of Article 3.5 hereof, and Lessee shall have all the rights of Lessee set forth in such Article.
5.2 Lessee, or any employee, agent or contractor thereof, undertaking construction or installation of the MHE shall do so with reasonable care and diligence, and in a manner which will not cause any damage to the Building or cause any delay in achieving Actual Completion of the Building. Lessee's contractors for the MHE work shall indemnify, defend and hold harmless both Lessor and Lessee from any and all claims or damages incurred by either party as a result of the faulty or negligent construction or installation of the MHE, including any damage to the Building or suffered by the other staff or contractors of either Lessor or Lessee.
5.3 Any loss or damage suffered incurred due to a delay in the Actual Completion of the Building, including any payment of Rent due to which Lessor would otherwise be entitled, due to the faulty or negligent construction or installation of MHE by THE LESSEE including but not limited to its materials the MHE contractor shall be borne by that contractor party responsible, and to third parties. Furthersuch shall indemnify, THE LESSEE shall keep THE LESSSOR indemnified defend and make good hold Lessee and Lessor harmless from any such loss or damage suffered by THE LESSOR due to any act of negligence, omission or commission of THE LESSEE, its contractors, agents, employees, workmen of the contractors including but not limited to failure to comply with statutory and regulatory requirements. During such period, THE LESSEE shall be liable to pay electricity, water, power charges and charges for security services at actuals plus 20%damage.

19.3 THE LESSEE hereby confirms that it shall carry out, implement and execute all interior works/ designs/ alterations in the Demised Premises in compliance/ adherence with the approval/ guidelines issued by THE LESSOR and the concerned authority(ies) from time to time for carrying out such interior works in the Demised Premises and in accordance with the local laws/bye laws and NBC as applicable and a certificate from a reputed consultant to that effect shall be provided to THE LESSOR before starting the interior fit out work. After the completion of the interior/ fit out works, THE LESSEE shall provide to THE LESSOR a certificate from a reputed consultant verifying that the interior/ fit out works have been carried out by THE LESSEE as per the drawings approved by THE LESSOR and in accordance with the local laws/ bye laws and NBC, as applicable, certifying that all safety measures have been taken care of including connection of fire panel with THE LESSOR’s ’S fire panel. THE LESSOR shall have the right to inspect and verify the same either directly or through its nominee/assigns.
19.4 For any interior/ fit out works including any additions/ modifications/ alterations in the Demised Premises in accordance with the National Building Code as applicable, THE LESSEE shall carry out such works without altering/ tampering with the fire fighting and fire detection systems as installed therein. However any additions/ modifications/ alterations to the existing fire fighting and fire detection system shall be done by THE LESSEE only after obtaining prior written approval from THE LESSOR and by providing alternate and stand by fire fighting systems during all such works in the Demised Premises.
19.5 THE LESSEE shall not carry out any work involving structural alterations/ cutting/ chopping/ digging/ hacking/ dismantling in any manner or form/ form/destroying the floors or walls of the Demised Premises or the Said Building without prior written permission of THE LESSOR.
19.6 THE LESSEE shall be directly liable for any legal or financial consequences arising out of such interior/ fit out works including liability towards any third party and all damages to the Demised Premises/ Said Building or loss of life arising out of such interior/ fit out works shall be the sole responsibility of THE LESSEE.
19.7 THE LESSEE’s ’S responsibilities during interior works as stated above are more detailed in Annexure T-X to this Lease Deed.
