Common use of Invalidation Clause in Contracts

Invalidation. Should any Article, section, or portion thereof, of this Agreement be held unlawful and unenforceable by any court of competent jurisdiction, such decision of the court shall apply only to the specific Article, section, or portion thereof directly specified in the deci­ sion, provided, however, that upon such a deci­ sion the parties agree immediately to nego­ tiate a substitute for the invalidated Article, section or portion thereof.
