Investor Capital Contributions Cash Flow. Each Borrower shall deposit any Investor Capital Call proceeds received otherwise into the applicable Collateral Account within five (5) Business Days after receipt (and during the continuation of any Default or Event of Default, within two (2) Business Days of receipt). It is hereby acknowledged that the Borrowers may receive Investor Capital Contributions for Non-MS PWM Investors from the applicable Non-MS PWM Investor Custodian (in which case, the Non-MS PWM Investor Custodian has collected such Investor Capital Contributions from the applicable Non-MS PWM Investors in satisfaction of such Non-MS PWM Investor’s obligation to fund Investor Capital Contributions). The Borrowers agree that (x) they will ensure that such Investor Capital Contributions are then credited to the applicable Collateral Account within the time period set forth above in this Section 5.2(a) and (y) for purposes of determining any funding delinquency hereunder, such amounts shall not be deemed received unless and until deposited into the applicable Collateral Account.

  • Capital Contributions Capital Accounts The capital contribution of the Sole Member is set forth on Annex A attached hereto. Except as required by applicable law, the Sole Member shall not at any time be required to make additional contributions of capital to the Company. The Management Committee shall notify each other Member of the need for Capital Contributions pursuant to this Section 4.02 when appropriate, which notice must include a statement in reasonable detail of the proposed uses of the Capital Contributions and a date (which date may be no earlier than the fifth Business Day following each Member's receipt of its notice) before which the Capital Contributions must be made. Notices for Capital Contributions must be made to all Members in accordance with their Sharing Ratios.
