INVESTOR’S OTHER EXIT ROUTES. (a) If the Qualified Initial Public Offering or Strategic Sale has not occurred by the Long Stop QIPO Date, then, notwithstanding the foregoing provisions of this Clause 11 (but without prejudice thereto), each Investor shall have the option exercisable at its discretion, to require the Company to, and the Founders shall cause the Company to, and the Company shall, subject to Applicable Laws, at its sole cost and expense, undertake one or more (including utilizing a combination of any) of the rights available to the Investors under Clause 10.3 and / or find and identify a third party financial or strategic investor acceptable to such Investor in its sole discretion, who will purchase the Shares held by such Investor at Fair Market Value. The Company shall take all steps in connection with providing an exit to such Investor in accordance with this Clause 11.4(a), including appointment of a merchant banker, co- operation with any requests for due diligence or management presentations with potential buyers that have executed non-disclosure agreements with the Company, to facilitate such exit; or

  • Other exceptions Notwithstanding any other provision of this Section 8.2, the confidentiality obligations of the Parties shall not apply to: (i) information which a restricted Party learns from a third party having the right to make the disclosure, provided the restricted Party complies with any restrictions imposed by the third party; (ii) information which is rightfully in the restricted Party’s possession prior to the time of disclosure by the protected Party and not acquired by the restricted Party under a confidentiality obligation; or (iii) information which enters the public domain without breach of confidentiality by the restricted Party.

  • Organization; Powers Each of the Borrower and its Subsidiaries is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization, has all requisite power and authority to carry on its business as now conducted and, except where the failure to do so, individually or in the aggregate, could not reasonably be expected to result in a Material Adverse Effect, is qualified to do business in, and is in good standing in, every jurisdiction where such qualification is required.

  • Effect on Other Entitlements F12.13 Compassionate leave with pay will count as service for all purposes.

  • Travel and Other Expenses ODHS shall not reimburse Contractor for any travel or additional expenses under this Contract.

  • Other Expenses 8.1 Taxi fare, bus tickets, conference registrations, parking, etc. must have a proper original receipt.

  • Specialized Skills Each certificated support person demonstrates in his/her performance a competent level of skill and knowledge in designing and conducting specialized programs of prevention, instruction, remediation and evaluation.

  • SETTLEMENT AND OTHER EXPENSES A. The following expenses must be paid at or prior to closing:

  • Management skills (i) These positions require skills in managing time, setting priorities and planning and organising one’s own work and that of supervised employees so as to achieve specific and set objectives in the most efficient way possible within the resources available and within a set timetable.
