Invoice Warranties And Guarantees. The General Contractor expressly warrants and guarantees to the Owner that: (i) title to all goods, products, materials, equipment and systems covered by an invoice will pass to the Owner upon incorporation into the Work; (ii) all goods, products, materials, equipment and systems covered by an invoice are free and clear of liens, claims, security interests or encumbrances; and (iii) no goods, products, materials, equipment or systems covered by an invoice have been acquired by the General Contractor, or its subcontractors or suppliers, subject to an agreement under which an interest therein or an encumbrance thereon is retained by the seller or otherwise imposed by the General Contractor, or its subcontractors or suppliers.
