Common use of IRO Engagement Clause in Contracts

IRO Engagement. 1. The Friendship Entities shall engage an IRO that possesses the qualifications set forth in Paragraph B, below, to perform the responsibilities in Paragraph C, below. The IRO shall conduct the review in a professionally independent and objective fashion, as set forth in Paragraph D. Within 30 days after OIG receives the information identified in Section V.A.8 of the CIA or any additional information submitted by the Friendship Entities in response to a request by OIG, whichever is later, OIG will notify the Friendship Entities if the IRO is unacceptable. Absent notification from OIG that the IRO is unacceptable, the Friendship Entities may continue to engage the IRO. 2. If the Friendship Entities engage a new IRO during the term of the CIA, that IRO must also meet the requirements of this Appendix. If a new IRO is engaged, the Friendship Entities shall submit the information identified in Section V.A.8 of the CIA to OIG within 30 days of engagement of the IRO. Within 30 days after OIG receives this information or any additional information submitted by the Friendship Entities at the request of OIG, whichever is later, OIG will notify the Friendship Entities if the IRO is unacceptable. Absent notification from OIG that the IRO is unacceptable, the Friendship Entities may continue to engage the IRO.

Within 30 days after OIG receives the information identified in Section V.A.8 of the CIA or any additional information submitted by the Friendship Entities Mallinckrodt in response to a request by OIG, whichever is later, OIG will notify the Friendship Entities Mallinckrodt if the IRO is unacceptable. Absent notification from OIG that the IRO is unacceptable, the Friendship Entities Mallinckrodt may continue to engage the IRO. 2. If the Friendship Entities engage Mallinckrodt engages a new IRO during the term of the CIA, that IRO must also meet the requirements of this Appendix. If a new IRO is engaged, the Friendship Entities Mallinckrodt shall submit the information identified in Section V.A.8 of the CIA to OIG within 30 days of engagement of the IRO. Absent notification from OIG that the IRO is unacceptable, the Friendship Entities OC and Xxxxxx may continue to engage the IRO. 2. If the Friendship Entities OC and Xxxxxx engage a new IRO during the term of the CIAIA, that IRO must also meet the requirements of this Appendix. Absent notification from OIG that the IRO is unacceptable, the Friendship Covered Entities may continue to engage the IRO.IRO.‌ 2. If the Friendship Covered Entities engage a new IRO during the term of the CIAIA, that IRO must also meet the requirements of this Appendix. If a new IRO is engaged, the Friendship Covered Entities shall submit the information identified in Section V.A.8 V.A.4 of the CIA IA to OIG within 30 days of engagement of the IRO. Absent notification from OIG that the IRO is unacceptable, the Friendship Entities Dia-Foot may continue to engage the IRO.IRO.‌ 2. If the Friendship Entities engage Dia-Foot engages a new IRO during the term of the CIAIA, that IRO must also meet the requirements of this Appendix. If a new IRO is engaged, the Friendship Entities Dia-Foot shall submit the information identified in Section V.A.8 V.A.4 of the CIA IA to OIG within 30 days of engagement of the IRO.
