Issue and Purchase of Notes. The Issuer may from time to time agree with any Dealer to issue, and any Dealer may agree to purchase, Notes.

Issue and Purchase of Notes. Subject to the terms and conditions of the Distribution Agreement and this Agreement, the Issuer hereby agrees to issue the Notes, and the Dealer[s] [severally and not jointly] agree[s] to purchase the Notes, at a purchase price of ___% of the principal amount of the Notes (the “Purchase Price”), being the issue price of ___% less discounts and commissions of ___% of such principal amount.
Issue and Purchase of Notes. Any Manager may agree from time to time with the Issuer to purchase Notes the aggregate principal amount of which must not exceed respective Series of Notes Maximum Issuance Amount (as increased or decreased in accordance with Annex 3) and in the aggregate must not exceed the amount of GBP 1,200,000,000 being the amount of the Transaction, whereupon the Issuer shall be obliged to issue and the relevant Manager shall be obliged to subscribe and pay for the relevant Notes on the Issue Date on the terms of this Agreement and otherwise on the terms so agreed.

  • Purchase of Notes The Company will not and will not permit any Affiliate to purchase, redeem, prepay or otherwise acquire, directly or indirectly, any of the outstanding Notes except upon the payment or prepayment of the Notes in accordance with the terms of this Agreement and the Notes. The Company will promptly cancel all Notes acquired by it or any Affiliate pursuant to any payment, prepayment or purchase of Notes pursuant to any provision of this Agreement and no Notes may be issued in substitution or exchange for any such Notes.
