Section 1.1275-3(b) the aggregate issue price of the Series 2020A Notes is $49,595,000 or approximately $991.90 per $1,000 principal amount of the Series 2020A Notes for purposes of Section 1273 of the Code, the Series 2020A Notes have aggregate original issue discount of $405,000 or approximately $8.10 per $1,000 principal amount, the issue date of the Series 2020A Notes is July 30, 2020; and the yield to maturity of the Series 2020A Notes for purposes of Treasury Reg. Section 1.1272-1(b) is approximately 6.25

  • Discount In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.

  • Deferred Discount Payment Upon the consummation of the initial Business Combination, the Company will direct the Trustee to pay the Representatives, on behalf of the Underwriters, the Deferred Discount out of the proceeds of the Offering held in the Trust Account. The Underwriters shall have no claim to payment of any interest earned on the portion of the proceeds held in the Trust Account representing the Deferred Discount. If the Company fails to consummate its initial Business Combination within the time period required by its Amended and Restated Certificate of Incorporation, the Deferred Discount will not be paid to the Representatives and will, instead, be included in the Liquidation distribution of the proceeds held in the Trust Account made to the Public Stockholders.
