ITAUCOR will additionally provide holders of BDRs with the services required to protect their basic rights under this Agreement, including the right to vote and rights of preference, payment of dividends, bonuses in cash or securities, share grouping and stock splits, among others, that take place abroad.
ITAUCOR guarantees to provide CVM, at any time within the time period set by the latter, with any information and documentation relating to the approved BDR program and the Securities issued.
ITAUCOR when receiving the expected assets from abroad, must, in the same day contract currency exchange to transfer the foreign exchange into Brazil, in order to carry out the respective BDR holders’ payment.
ITAUCOR hereby assumes the obligation to provide CVM with whichever information regarding to the approved BDRs Program and Securities Issuances, at any requested time and upon the established deadline.
ITAUCOR is committed to provide the CUSTOMER or financial institution by him designated, with all information and documents in his possession, due to the services established in this agreement.
ITAUCOR is a financial institution qualified and authorized by CVM to provide services of bonds and securities booking, pursuant to article 34, paragraph 2, of LSA;
ITAUCOR on the date when it receives the amounts due abroad, shall contract foreign exchange for the entry of currency in Brazil, in order to make the respective payment in favor of BDRs holders.
ITAUCOR when receiving the information from CLIENT or from CUSTODIAN, and after the closing of the foreign-exchange agreement referred to in the preceding sub-item, shall inform BM&FBOVESPA of the base date for payment, the amount per BDR, the taxes, if any, and the payment date.
ITAUCOR shall receive the remuneration indicated in Exhibit III, according to the provisions established therein.
ITAUCOR undertakes to provide CLIENT, or the financial institution designated by CLIENT, with all information and documents held by it by virtue of the services described in this agreement.
