Jacksonville. As soon as practicable after the date hereof, Chancellor and Capstar will enter into an Asset Exchange Agreement (the "Jacksonville Asset Exchange Agreement") under which Chancellor will exchange stations WAPE-FM and WFYV(FM) (the "Chancellor Jacksonville Stations"), plus $90,250,000 in cash, for KODA(FM), Houston (the "Jacksonville Exchange"), on the following terms:
(a) The Chancellor Jacksonville Stations shall be valued at Fifty Three Million Dollars ($53,000,000) for purposes of the Jacksonville Exchange.
(b) The closing of the Jacksonville Exchange shall be conditioned upon (i) the termination (without legal challenge by any party) of the Chancellor-SFX AEA and (ii) the prior or contemporaneous closing of the Capstar-SFX Merger.
(c) The Jacksonville Exchange shall not be included in any computation of the Basket Amount or any reduction of Chancellor's tax basis as contemplated by Section 1(f).

3.1.1.1 000 Xxxx Xxx Xxxxxx: Approximately 221,059 square feet of space. This number reflects the storage and IT spaces that will not be cleaned. This is a 30 story building of which Citizens has eight (8) full floors (3, 5, 13, 15, 16, 17, 18, and 19) and half of the 12th floor. These occupied floors are mainly office space with hard offices and modular furniture throughout.
3.1.1.2 Citizens will provide one parking garage space for the designated Day Xxxxxx at no cost to Vendor. Vendor Staff supporting the evening janitorial services may park on the street or other public parking available. Generally, there is no parking fee for evening street parking after 6:00PM ET.

Jacksonville. Jacksonville requires two (2) full-time Day Porters. The Day Porters must be able to work from 8:00 AM ET to 4:30 PM ET, with a half hour lunch break, excluding Citizens’ holidays. The Day Xxxxxx is required to check in and out with the respective Facility Manager or designee daily. The Vendor’s supervisor should monitor the Day Porters’ scheduled workday on a periodic basis to ensure a regular schedule is maintained and quality performance is being delivered.
