JOC Responsibilities. The JOC shall administer and monitor all matters with respect to the Collaboration, including the following matters: 2.2.1 oversight of the Development Plans and Manufacturing/CMC Plans, including all related strategy and objectives, timelines and activities thereunder, and changes with respect thereto on a quarterly basis; such oversight will confer to each Party, through its JOC representative, an ongoing right of Consultation; 2.2.2 review and approval of all budgets to support the Program Plans; 2.2.3 review of the management and allocation of resources of the Collaboration; 2.2.4 review of all Patent Rights and Technology used in connection with Product; 2.2.5 review and approval (prior to execution by either Party) of (a) all Third Party licenses (including all amendments thereto), and (b) all subcontracts, sublicenses, and other agreements (including all amendments thereto) that are required or to be entered into in connection with the Development Program and that either (i) require payments by a Party to a Third Party of greater than [***] U.S. dollars ($[***]) over the life of the contract or (ii) are otherwise material, or reasonably likely to become material, to the Collaboration, such review in each case to include a determination, with respect to each such subcontract, sublicense, license, or agreement, regarding whether it is appropriate to require the inclusion of the protections set forth in Section 3.8 hereof; and 2.2.6 performance of such other functions as appropriate to further the purposes of this Agreement and the Collaboration as determined from time to time by the Parties.
JOC Responsibilities. The responsibilities of the JOC shall also include, but shall not be limited to: (a) making recommendations to the JSC with respect to target profiles for IL-1 Products (including key labeling claims required for commercial success of IL-1 Products given the competitive environment and any other key IL-1 Product features and benefits that would be used to develop or support a promotional message for IL-1 Products); (b) preparing, or overseeing the preparation of, Strategic Plans for IL-1 Products for the Co-Commercialization Countries for final approval by the JSC, and updating each such Plan not less frequently than once per Contract Year; (c) preparing, or overseeing the preparation of, Consolidated Co-Commercialization Plans (and related Consolidated Co-Commercialization Budgets) for the Co-Commercialization Countries in accordance with applicable Strategic Plans for final approval by the JSC, and updating each such Plan not less frequently than once per Contract Year; (d) preparing, or overseeing the preparation of, Consolidated Co-Development Plans (and related Consolidated Co-Development Budgets) for the Co-Commercialization Countries in accordance with applicable Strategic Plans for final approval by the JSC, and updating each such Plan not less frequently than once per Contract Year; (e) monitoring compliance with the Consolidated Co-Commercialization Plans and the Consolidated Co-Development Plans and, in connection therewith, reviewing and approving any material change in a Consolidated Co-Commercialization Plan or Consolidated Co-Development Plan, including, without limitation, specifically approving any change(s) in any line item or category of expenses in any Consolidated Co-Commercialization Budget or Consolidated Co-Development Budget which individually, or together with such previously approved changes in such line item or category, would result in a greater than five percent (5%) increase or decrease in the amount budgeted in such line item or category under either such Consolidated Co-Commercialization Budget or Consolidated Co-Development Budget, it being understood and agreed that expenditures by the Parties with respect to any matter included in a Consolidated Co-Commercialization Budget or Consolidated Co-Development Budget which individually or together with such prior expenditures, exceed by less than 5% the amount budgeted in any line item or category of expenses in such Consolidated Co-Commercialization Budget or Consolidated Co-D...
JOC Responsibilities. The JOC shall have the following responsibilities: (a) review and discuss each Ono Development Plan, and all amendments and updates to such Ono Development Plan; (b) as part of its review and discussion of an Ono Development Plan, take into account the comments or views of Karyopharm or any of Karyopharm’s Related Parties outside of the Ono Territory as Karyopharm may present to the JOC; (c) review progress reports provided by Ono with respect to its Development activities; (d) monitor and provide Ono with feedback regarding the conduct of Development activities by or on behalf of Ono; (e) review and discuss each Karyopharm Development Plan, and all amendments and updates to such Karyopharm Development Plan; (f) review progress reports provided by Karyopharm with respect to Development activities by Karyopharm and its Related Party; (g) coordinate Development activities conducted by Ono and its Related Parties with the activities conducted by Karyopharm and its Related Parties in their respective Territories, including regulatory and pharmacovigilance requirements and matters; (h) subject to the escalation provision in Section 5.4, review and approve each Global Clinical Study Proposal (it being confirmed that such review shall be subject to and supported by information sharing exchange in the Global Development Working Group pursuant to Section 5.5); (i) subject to the escalation provision in Section 5.4, review and approve each Global Clinical Development Plan and any amendments to such Global Clinical Development Plan (it being confirmed that such review shall be subject to and supported by information sharing exchange in the Global Development Working Group pursuant to Section 5.5); (j) review and discuss each Party’s and/or its Related Party’s long term Development strategy in the respective Territory in a timely manner (it being confirmed that such review and discussion shall be subject to and supported by information sharing exchange in the Global Development Working Group pursuant to Section 5.5); (k) designate a Back-Up Compound among its candidates provided by Karyopharm in accordance with Section 2.7.2; (l) review and provide comments on scope of work for additional work relating to Data transfer as specified in Section 2.8.3(b); (m) oversee the manufacturing and supply relationship between the Parties with respect to Manufacture of Licensed Compounds and Licensed Products in case Licensed Compounds and Licensed Products are supplied by the Kary...
JOC Responsibilities. The JOC shall: (i) prepare the Annual Marketing Plan for review and approval by JSC; (ii) prepare and review Product Marketing strategies and tactics; (iii) prepare allocation of Baseline M&P Expenses and Shared M&P Expense for JSC review and approval; (iv) prepare reports, including sales performance data and other key performance indicators for JSC review in accordance with Exhibit 2.2(c)(iv); (v) execute and monitor the strategies and tactics in the Annual Marketing Plan; (vi) monitor Product supply and Product Laboratory Service capacity to ensure they are sufficient to meet the demand forecast in the Annual Marketing Plan; (vii) establish key supply, capacity, inventory, and such other metrics to inform the JSC; (viii) prepare any revision to the Annual Marketing Plan as directed by the JSC or otherwise proposed pursuant to Section 3.3(a); (ix) provide consent to materials for reconsideration by the JSC pursuant to Section 2.3(d); and (x) with respect to the Annual Marketing Plan, ensure that a consultation with the Compliance Managers is completed and appropriate compliance measures are incorporated into the Annual Marketing Plan.
JOC Responsibilities. The JOC shall be responsible for: (a) overseeing each Product’s ongoing Development and Commercialization activities and Legal Activities under the Collaborative Program (including, without limitation, (i) determining the strategy to achieve Legal Clearance, including, without limitation, the strategy with respect to Paragraph IV filings and foreign equivalents, and Patent Litigation, and (ii) determining the patent prosecution and enforcement strategy with respect to the Joint Collaboration IP, the Collaboration Product-Specific Patent Rights and the Glycoprotein Product-Related Patent Rights); (b) providing overall guidance to the JPTs; (c) reviewing and endorsing to the JSC each Product’s Annual Collaboration Plan, or any changes thereto, including without limitation, the budgets contained therein, pursuant to Section 5.13, and any changes thereto; (d) reviewing each JPT’s progress toward milestones in the Annual Collaboration Plans and updating such progress at least every [**] months; (e) establishing a Regulatory and Policy Strategy Team as described in Section 7.6; (f) establishing a Legal / Intellectual Property Team (the “Legal /Intellectual Property Team”) to provide strategic support with respect to legal and intellectual property strategy matters for the Products; (g) attempting to resolve disputes within any JPT; (h) referring any disputes not resolved by the JOC to the JSC for resolution; and (i) performing such other tasks and undertaking such other responsibilities as are set forth in this Agreement. The JOC shall only act unanimously and each of Momenta and Sandoz, acting through its representatives, shall have one vote on the JOC.

  • IRO Responsibilities The IRO shall: 1. perform each Claims Review in accordance with the specific requirements of the CIA;

Compile data for, prepare for execution by the Fund and file all the Fund’s federal and state tax returns and required tax filings other than those required by this Agreement to be made by the Fund’s custodian and transfer agent. 4. Prepare compliance filings pursuant to state securities laws with the advice of the Trust’s counsel. 5. Prepare the Trust’s Annual and Semi-Annual Reports to Shareholders and amendments to its Registration Statements (on Form N-1A or any replacement therefor). 6. Compile data for, prepare and file timely Notices to the SEC required pursuant to Rule 24f-2 under the 1940 Act. 7. Determine the daily pricing of the portfolio securities and computation of the net asset value and the net income of Fund in accordance with the Prospectus, resolutions of the Trust’s Board of Trustees, and the procedures set forth in EXHIBIT A: NET ASSET VALUE CALCULATIONS. 8. Keep and maintain the financial accounts and records of the Fund and provide the Trust with certain reports, as needed or requested by the Fund. 9. Provide officers for the Trust as requested by the Trust’s Board of Trustees. 10. Perform fund accounting services for the Fund as set forth in EXHIBIT B: FUND ACCOUNTING FUNCTIONS. 11. Generally assist in all aspects of the operations of the Fund.

  • Our Responsibilities A. We will provide the Services in accordance with our then-current systems, standards, and procedures. Nothing requires us to provide you with any special programming; any system, program, or procedure implementation; or any special hardware or software. B. We will provide reports online for each fiscal day’s activity by 10:00 AM ET the next calendar day. Such reports will include an accounting for each currency with supporting detail of transaction activity, Daily Proceeds, reserves and funds transfers for transaction settlement services. Reports will be available for download on the online reporting tool for a period of 14 months from the date of issue. Reports may be upgraded, enhanced and/or modified by us at any time. C. We will initiate payment to you for the amount of each accepted Card transaction only after we receive payment. D. We have the right to honor and rely on the request(s) or instruction(s) of any person we reasonably believe to be your representative or Agent. In the event we receive returned mail intended for you, we may, but are not required to, procure a replacement address according to our standard operating procedures. E. We are only responsible for processing credits and adjustments for Card transactions that we originally processed. You authorize us to audit all Card transactions and deposits. We have the right to withhold amounts from you if we discover inaccuracies. F. We may report information about your account, late payments, missed payments, or defaults to credit bureaus. G. We may suspend or cease providing any Services to you in response to a Member Bank, Network, or Association request. We will use reasonable efforts to notify you if we suspend or cease any Services. H. We are responsible for the security of Cardholder data we store or transmit on your behalf only while it is in our possession and control.

  • Your Responsibilities 7.1 You are responsible for installing and configuring, and using the Service, Software, and Hardware, including account set up and configuration settings (unless NCR Voyix provides remote support for any of the foregoing as part of your subscription to the Service), compliance with applicable laws and regulations, and establishing any payment processing or other services certified by NCR Voyix for use with the Service (including through NCR Voyix’s wholly owned affiliates). You are solely responsible for reviewing any default or automated settings and configuring applicable settings to meet all legal, regulatory and other requirements applicable to your business. NCR shall have no liability in connection with such settings or configurations. You acknowledge that NCR Voyix does not provide legal, tax or accounting advice. You will provide NCR Voyix access to your network, system, data, and relevant information as reasonably required to perform the Service. You acknowledge that NCR Voyix personnel may require, and you will provide, the ability to access and correct transaction or input data while the Service is being provided to you. NCR Voyix is not responsible for any damage caused by errors or omissions in any information, instructions, data, or scripts you or a third party provides on your behalf in connection with the Service, or any actions NCR Voyix takes at your direction. 7.2 To use the Service, you must maintain internet access at your own expense. NCR VOYIX IS NOT RESPONSIBLE FOR AND DOES NOT WARRANT THE PERFORMANCE OF ANY INTERNET SERVICE OR OTHER PROVIDER OR ITS SERVICES, AND YOU AGREE THAT NCR VOYIX HAS NO LIABILITY TO YOU FOR SUCH PERFORMANCE OR SERVICES. 7.3 Title to hardware, software, systems, documentation, and other intellectual property NCR Voyix uses to provide the Service will remain with NCR Voyix or its licensors, unless otherwise agreed in writing. You will take reasonable actions to protect NCR Voyix’s intellectual property rights. 7.4 You are responsible for complying with all rules, bylaws, programs, and regulations of the payment card networks in connection with your use of the Service, Software and Hardware, as applicable. You will defend and indemnify NCR Voyix against any claim or loss resulting from your failure to fulfill your responsibilities under this Section. 7.5 Certain Services may perform analysis of transaction records designed to identify transaction patterns and activity that may be indicative of fraud. You acknowledge that the indicia reported by such Services may not necessarily be the result of fraudulent activity. You are responsible for performing its own evaluation of any results. NCR Voyix does not guarantee the detection of fraudulent transactions. 7.6 You are responsible for all data, information, materials and instructions (“Customer Instructions”) provided to NCR Voyix by you or on your behalf. NCR Voyix is entitled to rely upon Customer Instructions. In no event will NCR Voyix be liable with respect to any loss, liability, cost, damage, or expense arising out of a claim by you or any third party to the extent that claim arises as a result of NCR Voyix’s compliance with Customer Instructions.

  • Joint Responsibilities The relationship between SAE ITC, the Activities and its Members shall be, and at all times, advisory only, and no party shall have the authority to enter into any contract or commitment in the name of, or on behalf of, any other party. Nothing in this Agreement shall be construed to confer upon either party the status of employee, agent, partner, joint venturer or legal representative of the other, it being intended by all parties to remain independent legal entities solely responsible for its own actions.
