Joint Operations Committee. (a) Within one (1) month of the Commencement Date, the parties shall establish a Joint Operations Committee that will liaise on and use best efforts to resolve: (i) issues relating to the implementation of this Agreement, including without limitation in relation to agreeing any required changes to: (A) the Principles of Migration; (B) the SLA; (C) the Site Access Rules; (D) processes for the adjustment of Lease Fees under clause 7.1(c) and crediting of service credits under the SLA; (E) the form of Schedule 9 (Form of Notice for Change to Operator Equipment); and (F) the form of agreed invoice; (ii) technical network operational issues which arise from time to time in relation to the Facilities and Sites; and (iii) any disputes between the parties in relation to this Agreement, including disputes under clauses 7.4 and 20. (b) The Joint Operations Committee shall comprise at least one (1) representative member from each party. Each party shall appoint its Personnel as its representative members to the Joint Operations Committee by written notice sent to the other party no more than five (5) Working Days after the Commencement Date. Any changes to these representatives must be notified to the other party within five (5) Working Days of appointment. The representative members of each party together must have appropriate technical, operational and financial background and skill to carry out the functions of the Joint Operations Committee. If required, the Joint Operations Committee may meet by sub committee consisting of at least one representative from each party to discuss issues relating to the appropriate expertise of the sub committee members. (c) The Joint Operations Committee shall meet during the Term: (i) at the end of each calendar quarter at the offices of the Operator in Jakarta at a time to be agreed by the parties no later than ten (10) Working Days before the end of the relevant quarter (the JOC Meeting); and (ii) in addition to the JOC Meeting, from time to time as may be requested by a party giving five (5) Working Days prior written notice to the other party of the time, location and, if applicable, frequency of such meeting or meetings. (d) The Chief Technical Office of the Operator and the Operations Manager of TowerCo, or their authorised nominees, must be present at each meeting of the Joint Operations Committee. Joint Operations Committee. The Parties shall establish a Joint Operations Committee (the "Joint Operations Committee"), comprised of three (3) representatives of Idenix and three (3) representatives of Novartis. Each Party shall make its designation of its representatives not later than thirty (30) days after the Effective Date. Each Party shall designate as its representatives to the Joint Operations Committee individuals who have the requisite experience, knowledge and seniority to be able to make the relevant decisions on behalf of the Party designating such individual. The Joint Operations Committee shall meet within sixty (60) days after the Effective Date and, thereafter, as determined by the Joint Steering Committee, to: (i) make recommendations to the Joint Steering Committee with respect to target profiles for the Products and Selected Drug Candidates (including key labeling claims required for commercial success of the Products and Selected Drug Candidates given the competitive environment and any other key Product or Selected Drug Candidate features and benefits that would be used to develop or support a promotional message for the Products or Selected Drug Candidates); (ii) review and, as appropriate, approve, in accordance with Section 4.2, an updated Development Plan (excluding the Development Budget) prepared by Idenix for each Product for Development activities following the relevant Selection Date; (iii) monitor the Parties' activities pursuant to the applicable Development Plan and approve proposed amendments to the applicable Development Plan (excluding, in any event, proposed amendments to the Development Budget); (iv) make recommendations to Novartis with respect to proposed amendments to the Development Budgets; (v) approve protocols for pre-clinical studies and Clinical Trials of the Selected Drug Candidates and Products in the Territory; (vi) monitor and make modifications to the Clinical Trials and studies set forth in clause (v) above; (vii) review and approve material regulatory correspondence, final study reports and submissions to Regulatory Authorities; (viii) facilitate an exchange between the Parties of data, information, material and results relating to the Development of the Selected Drug Candidates and Products in the Territory; (ix) establish and implement procedures regarding the collection, sharing and reporting of adverse event information related to the Selected Drug Candidates and Products in each country in the Territory; (x) establish the o...

Joint Operations Committee. The Company and the Union agree to form a Joint Operations Committee comprised of 2 members from each of the Company and the Union. The mandate of the Joint Operations Committee is to jointly perform workflow analysis and review manpower utilization with the goal of determining ongoing safe and efficient operating processes and equitable distribution of work amongst the Operating positions within the Operations Department. The Joint Operations Committee will be formed within one month of ratification of the new collective agreement and will make recommendations within five months of being formed. The Joint Operations Committee will bring such recommendations forward to the Senior Management of the North Vancouver Facility for consideration. The Company agrees to give due and proper consideration to the recommendations of the Joint Committee taking into account the financial resources available for implementation. Where there is a conflict between the Collective Agreement and the Adjustment Plan, the terms of the Adjustment Plan will take precedence.
