Joint Operating Committee. Except in the case of ISOs and RTOs, Transmission Provider shall constitute a Joint Operating Committee to coordinate operating and technical considerations of Interconnection Service. At least six (6) months prior to the expected Initial Synchronization Date, Interconnection Customer and Transmission Provider shall each appoint one representative and one alternate to the Joint Operating Committee. Each Interconnection Customer shall notify Transmission Provider of its appointment in writing. Such appointments may be changed at any time by similar notice. The Joint Operating Committee shall meet as necessary, but not less than once each calendar year, to carry out the duties set forth herein. The Joint Operating Committee shall hold a meeting at the request of either Party, at a time and place agreed upon by the representatives. The Joint Operating Committee shall perform all of its duties consistent with the provisions of this LGIA. Each Party shall cooperate in providing to the Joint Operating Committee all information required in the performance of the Joint Operating Committee's duties. All decisions and agreements, if any, made by the Joint Operating Committee, shall be evidenced in writing. The duties of the Joint Operating Committee shall include the following: 29.1.1 Establish data requirements and operating record requirements. 29.1.2 Review the requirements, standards, and procedures for data acquisition equipment, protective equipment, and any other equipment or software. 29.1.3 Annually review the one (1) year forecast of maintenance and planned outage schedules of Transmission Provider's and Interconnection Customer's facilities at the Point of Interconnection. 29.1.4 Coordinate the scheduling of maintenance and planned outages on the Interconnection Facilities, the Large Generating Facility and other facilities that impact the normal operation of the interconnection of the Large Generating Facility to the Transmission System.

Joint Operating Committee. 16.1 The Supplier and the Purchaser shall jointly establish the Joint Operating Committee to review the operation of this Agreement and the supply of SUMF hereunder in an effort to ensure the smooth and efficient operation of this Agreement. The structure and role of the Joint Operating Committee is set out in Schedule 5. 16.2 Every two (2) years, or as often as either Party may reasonably require, the Joint Operating Committee will review the overall effectiveness of this Agreement and will discuss possible opportunities for improvement.

Joint Operating Committee. (a) The Joint Operating Committee ("JOC") shall consist of an equal number of members from each of Eyetech and Pfizer. Each of Eyetech and Pfizer shall confirm to the other its designees. At least one of Pfizer's designees shall be the Vice President in Pfizer's Pharmaceuticals Group with global responsibility for the therapeutic area covering the Products. The JOC shall address all of the significant and strategic issues within the purview of the various subcommittees, and shall be responsible for resolving any issues referred by the subcommittees. The JOC will be presented with updates on the activities and achievements of the subcommittees. All decisions of the JOC will be unanimous votes of the co-chairpersons. (b) If the JOC is unable to resolve any issue within ten (10) Business Days after presentation, either Party may refer the issue to the Senior Executives for resolution pursuant to Section 3.7.

Joint Operating Committee. A Joint Operating Committee (“JOC”) will be formed, pursuant to the terms of this Article 5 and the provisions set forth in Exhibit B, by two voting members each from Anthem and Company. The JOC will have a chairperson. The initial chairperson shall be Nxxxx Xxxxxxxx, to serve in such role until such time as Mx. Xxxxxxxx is no longer employed by the Company or is otherwise unable to continue in such role at any point during the term of this Agreement, in which such case the JOC shall designate a replacement chairperson. During the term of this Agreement, Dr. Cxxxxxx Xxxxxxx, as long as employed by or affiliated with Blue Ox, will be an ex-officio, non-voting member of the JOC. The JOC will determine details of Anthem's and Company's collaboration, including, but not limited to: 1. Overall program management; 2. Anthem provider contracting support and coordination needs; 3. Company's testing capacity and ramp up to meet Anthem's needs; 4. Anthem care management programs, utilization management programs, analytic support, and marketing support; 5. Company IT readiness to ensure operational capacity for the anticipated growth of the program; 6. Approach to the physician offices and other end user support; 7. Staffing and resources by both parties; 8. Building and sharing enhanced data and analytics for current and future products and services; 9. Billing process; 10. [***]; and 11. Definition of success metrics and performance monitoring.

The JOC shall be comprised of two (2) members appointed by ThermoGenesis and two (2) members appointed by Distributor. The JOC shall have the duties and responsibilities set forth in this Section. 8.2 The JOC shall discuss and work to reach consensus on the management and administration of the responsibilities and obligations of the Parties under the Agreement. If the JOC is unable to reach consensus on a matter, the issue shall be resolved by the senior most executives of the Parties responsible for the division administering the Agreement. If such senior executives cannot reach consensus and resolution, the Parties shall continue to comply with the express terms of the Agreement, and each Party shall have the right to decide how to proceed within each Party’s respective area of responsibility. 8.3 The JOC will meet no less than four (4) times a year, either in person or via video conferencing to review, among other things, sales performance, progress on sales metrics, the operating plan and budget, on hand inventory levels, customer usage information, and make such adjustments and changes as are agreed to by the Parties.

Joint Operating Committee. Except in the case of an ISO or RTO forming in the Northwest which may eliminate this requirement, Grant PUD shall institute a Joint Operating Committee to coordinate operating and technical considerations of 29.1.1 Establish data requirements and operating record requirements. If, after best efforts, agreement cannot be reached on data requirements and/or operating record requirements, Grant PUD shall have the option of unilaterally determining these requirements. 29.1.2 Review the requirements, standards, and procedures for data acquisition equipment, protective equipment, and any other equipment or software, and make recommendations for acquisition of equipment and/or implementation of procedures. 29.1.3 Annually review the one (1) year forecast of maintenance and planned outage schedules of Grant PUD's and Customer's facilities at the Point of Interconnection. 29.1.4 Coordinate the scheduling of maintenance and planned outages on the Interconnection Facilities, the Generating Facility and other facilities that impact the normal operation of the interconnection of the Generating Facility to the Transmission System. 29.1.5 Ensure that accurate and timely information is being provided by each Party regarding equipment availability. 29.1.6 Perform such other duties as may be conferred upon it by mutual agreement of the Parties. 29.1.7 Maintain a list of appropriate contacts for each Party.
