Judgments; Liens. The Agency shall not permit the entry of any monetary judgment or the assessment against, the filing of any tax lien against, or the issuance of any writ of garnishment, attachment or execution (a) against any Housing Set-Aside Amounts, Subordinate Housing Set-Aside Amounts or any of the Housing Set-Aside Accounts, or (b) otherwise against the Agency and that could reasonably be expected to have a Material Adverse Effect, that in any such case is not discharged or stayed within 30 days of entry.

Judgments; Liens. There are no outstanding judgments, liens or any other security interests filed against the Company or any of its properties.
Judgments; Liens. The issuance, filing, or levy against Borrower, any Property, any Resort, any Unit, or the Club of one (1) or more attachments, injunctions, executions, tax liens, or judgments for the payment of money cumulatively in excess of $100,000.00, which is not discharged in full or stayed within forty-five (45) days after issuance or filing.
Judgments; Liens. A judgment or judgments in the aggregate shall be entered against the Borrower or a Guarantor in an amount (as to the Borrower and all Guarantors) which is in excess of $250,000 (excluding the Burlen Judgment Lien) and such judgment shall not be satisfied, fully bonded, discharged or vacated and shall remain in effect for thirty (30) consecutive days without a stay of enforcement or execution, or a nonconsensual Lien which is not a Permitted Encumbrance shall be filed against any Collateral or property of the Borrower or a Guarantor and which shall not be fully bonded, vacated, discharged or released with forty-five (45) days of the date of filing.
Judgments; Liens. Xxxxxxx, for himself, his heirs, successors and assigns and on behalf of any future owner of the Subject Property, covenants and acknowledges that any judgment entered by a court of competent jurisdiction in enforcing the Alliance’s rights under this Easement may be entered by a court as a lien against the property (in rem) and personally (in personam) against Grantor or the current owner of the Subject Property at the time the judgment is entered. Any lien on the Subject Property created pursuant to any paragraph of this Easement may be confirmed by judgment and foreclosed by the Alliance in the same manner as a mechanic's lien, except that no lien created pursuant to this Easement shall jeopardize the priority of any recorded lien of mortgage or deed of trust given in connection with a promissory note secured by the Subject Property.

  • Mechanic’s Liens Tenant shall not suffer or permit any mechanic's lien or other lien to be filed against the Premises, or any portion thereof, by reason of work, labor, skill, services, equipment or materials supplied or claimed to have been supplied to the Premises at the request of Tenant, or of anyone holding the Premises, or any portion thereof, by, through or under Tenant. If any such mechanic's lien or other lien at any time shall be filed against the Premises or any portion thereof, Tenant, within thirty (30) days after the date Tenant first becomes aware of the filing of the same, at Tenant's election, shall cause said lien either to be discharged of record or to be bonded over in a manner which is reasonably acceptable to Landlord. If Tenant shall fail to discharge such mechanic's lien or other lien or to bond over the same within such period, then Landlord may, but shall not be obligated to, discharge the same by paying to the claimant the amount claimed to be due or by procuring the discharge of such lien as to the Premises by deposit of a cash sum or a bond or other security, or in such other manner as is now or may in the future be provided by present or future law for the discharge of such lien as a lien against the Premises. Any amount paid by Landlord, or the value of any deposit so made by Landlord, together with all costs, fees and expenses in connection therewith (including reasonable attorneys' fees), together with interest thereon at the Maximum Rate of Interest, shall be repaid by Tenant to Landlord within thirty (30) days after demand therefor. Tenant shall indemnify, defend and hold harmless Landlord and the Premises from all losses, costs, damages, expenses, liabilities, suits, penalties, claims, demands and obligations, including, without limitation, reasonable attorneys' fees, resulting from the assertion, filing, foreclosure or other legal proceedings with respect to any such mechanic's lien or other lien.

  • Title to Properties; Priority of Liens Each Borrower and Subsidiary has good and marketable title to (or valid leasehold interests in) all of its Real Estate, and good title to all of its personal Property, including all Property reflected in any financial statements delivered to Agent or Lenders, in each case free of Liens except Permitted Liens. Each Borrower and Subsidiary has paid and discharged all lawful claims that, if unpaid, could become a Lien on its Properties, other than Permitted Liens. All Liens of Agent in the Collateral are duly perfected, first priority Liens, subject only to Permitted Liens that are expressly allowed to have priority over Agent’s Liens.

  • Creation, Perfection and Priority of Liens The execution and delivery of the Collateral Documents by Loan Parties and Sponsors, together with (i) the actions taken on or prior to the date hereof pursuant to subsections 4.1, 4.2, 6.8 and 6.9 and (ii) the delivery to Administrative Agent of any Pledged Collateral not delivered to Administrative Agent at the time of execution and delivery of the applicable Collateral Document (all of which Pledged Collateral has been so delivered) are effective to create in favor of Administrative Agent for the benefit of Lenders, as security for the respective Secured Obligations (as defined in the applicable Collateral Document in respect of any Collateral), a valid and perfected First Priority Lien on all of the Collateral, and all filings and other actions necessary or desirable to perfect and maintain the perfection and First Priority status of such Liens have been duly made or taken and remain in full force and effect, other than the filing of any UCC financing statements or Mortgages delivered to Administrative Agent for filing or recording, as applicable (but not yet filed or recorded) and the periodic filing of UCC continuation statements in respect of UCC financing statements filed by or on behalf of Administrative Agent.

  • Title to Properties; Liens and Encumbrances The Company has good and marketable title to all of its material properties and assets, both real and personal, and has good title to all its leasehold interests, in each case subject only to mortgages, pledges, liens, security interests, conditional sale agreements, encumbrances or charges created in the ordinary course of business.
