Jurisdiction and Authority of the Bankruptcy Court; Dispute Resolution; No Jury. (a) Without limiting any Party’s right to appeal any Order of the Bankruptcy Court, the Parties expressly consent to (a) the exclusive jurisdiction of the Bankruptcy Court over any dispute (i) arising out of or relating to this Agreement, or (ii) in connection with the Sale Transaction, and (b) the authority of the Bankruptcy Court to adjudicate any dispute (i) arising out of or relating to this Agreement, or (ii) in connection with the Sale Transaction. In the event the Bankruptcy Court does not have jurisdiction over a dispute arising under this Agreement or in connection with the Sale Transaction, or for whatever reason fails or refuses to take jurisdiction over any other dispute arising hereunder or in connection with the Sale Transaction then, except as otherwise expressly set forth in this Agreement and to the fullest extent permitted by applicable Law, the Parties shall submit all Actions arising hereunder and not otherwise resolved by the Parties in writing to the exclusive jurisdiction of the appropriate State of Texas court located in Dallas County, Texas or, to the extent permitted by applicable Law, the federal courts in the Northern District of Texas (to whose jurisdiction the Parties irrevocably, unqualifiedly and unconditionally submit), and to any appellate court with authority to adjudicate appeals therefrom, in any dispute arising out of or relating to this Agreement, and each Party hereby irrevocably, unqualifiedly and unconditionally agrees that all Actions in respect of any such dispute may be heard and determined in such State of Texas court, or to the extent permitted by applicable Law, in such federal court. The Parties irrevocably, unqualifiedly and unconditionally waive, to the fullest extent they may effectively do so, any defense of any inconvenient forum or improper venue to the maintenance of any such dispute in any such court and any right to assert or contest jurisdiction on account of its place of residence or domicile. The Parties irrevocably, unqualifiedly and unconditionally consent to the service of any and all process in any dispute to be adjudicated in the State of Texas or the federal courts in the Northern District of Texas, by the sending of such process to each of the applicable Parties at the addresses and in the manner specified in Section 14.6, or as otherwise may be permitted or required by applicable Law.   • Dispute Resolution and Jurisdiction Any controversy or claim arising out of or relating to this Agreement, or the breach thereof shall be settled by arbitration in accordance with the rules of the American Arbitration Association and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof, except that arbitration shall not apply to (1) controversies and claims of less than $5,000, nor to (2) claims seeking to collect liquidated amounts, such as the Tuition promised by the student. Any legal dispute (not resolved in arbitration) shall be governed by the laws of the state of California, and that Santa Xxxxxxx courts are the exclusive venue.

  • Jurisdictional Disputes 17.01 A xxxx-up meeting will be held with each Contractor not later than the commencement of the Contractor's work on all projects and no assignments shall be made before this xxxx- up. Xxxx-up assignments shall also apply to all sub-contractors. If a jurisdictional dispute arises once the work has commenced, assignments will be made in accordance with procedures, rules and regulations of the National Joint Board Building Trades Department, A.F.L. & C.I.O. The work assignment shall not be completed until a meeting on site has been convened with all Parties involved and until a subsequent meeting (not later than twenty-four (24) hours) has taken place, at which the Contractor shall present the work assignment on paper to all Parties.

  • Dispute Resolution, Governing Law and Jurisdiction The parties will make good faith efforts to first resolve internally within 30 days any dispute, including over an invoice, relating to the Agreement by escalating it to higher levels of management. If Client withholds an amount more than sixty days Accenture will be permitted to suspend performance until such time as the matter in dispute is resolved.
