Keep Confidential. (a) all information (written, oral or electronic) disclosed to it by another Party and concerning the business and affairs of that other Party; and
(b) the provisions and subject matter of this Agreement and the negotiations relating to it; (together the “Confidential Information”);

Flexischools agrees to keep confidential and secure against any improper or unauthorised use any of Your Materials or Account Holder data (including but not limited to Personal Information and transaction details) that are collected by the Flexischools Service. Keep Confidential. (a) the existence and the provisions of this Agreement and of any agreement entered into pursuant to this Agreement;
(b) the negotiations relating to this Agreement (and any such other agreements);
(c) all Confidential Information relating to any Group Company, the Business, the Integration or any member of the Buyer’s Group; and

Keep Confidential. The Service Provider shall keep confidential the Confidential Information and shall not, without the prior written consent of the Company, use, disclose, copy or modify the Confidential Information other than as necessary for the exercise of its rights, and performance of its obligations, under this Agreement.
Keep Confidential. Each party (Receiving Party) receiving, possessing or otherwise acquiring Confidential Information of any other party (Disclosing Party) acknowledges that the Disclosing Party's Confidential Information is the property of and confidential to or a trade secret of the Disclosing Party. Subject to clause 14.2, the Receiving Party must:
(a) keep the Disclosing Party's Confidential Information confidential and not directly or indirectly disclose, divulge or communicate that Confidential Information to, or otherwise place that Confidential Information at the disposal of, any other person without the prior written approval of the Disclosing Party;
(b) take all reasonable steps to secure and keep secure all of the Disclosing Party's Confidential Information coming into its possession or control; and
(c) not memorise, use, modify, reverse engineer or make copies, notes or records of the Disclosing Party's Confidential Information for any purpose other than in connection with the performance by the Receiving Party of its obligations under this Agreement.
Keep Confidential. The parties must keep the data confidential. The parties must:
7.7.1. protect each other's interests and the data subjects’ interests;
7.7.2. take all appropriate technical and organisational security measures to maintain the confidentiality of the data;
7.7.3. only disclose the data to those who are permitted to use the data in terms of this agreement or an order;
7.7.4. obtain promises of confidentiality from any personnel who require access to the data;
7.7.5. ensure that all personnel take the measures to maintain the data’s confidentiality;
7.7.6. and the parties indemnify each other against any claim, loss or damage which may be suffered if the other breaches any of the above obligations.
Keep Confidential. The Receiving Party must take all reasonable measures to keep the Confidential Information secret and confidential and not disclose it to anyone.
Keep Confidential. (a) The Student must:
(i) keep the Confidential Information secret and confidential, and not disclose or publish any part of the Confidential Information to any person without ▇▇▇▇ ▇▇▇▇▇▇▇▇▇’▇ prior written consent; and
(ii) upon ceasing to participate in the Research, return to QIMR Berghofer all copies of the Confidential Information in the Student’s possession.
(b) The Student acknowledges and agrees that QIMR Berghofer may provide a copy of this Deed to any person as reasonably required in connection with the Research or commercialisation of the Intellectual Property.
